These Terms of Service ("Terms") govern your access to and use of AchillesAI (the "Service"), provided by Ermethe ("we", "our", or "us"). By installing or using the Service, you agree to be bound by these Terms.
1. The Service
AchillesAI is a software service that provides marketing data analysis and AI-assisted email content tools to support Shopify merchants' existing email marketing workflows. The Service may integrate with third-party platforms used by the merchant (such as Shopify and Klaviyo) to read store activity and write content suggestions where appropriate.
2. Eligibility & Account
You must be at least 18 years old and authorized to operate the Shopify store on which the Service is installed. By installing the Service, you represent that you have the right to share with us the data described in our Privacy Policy.
3. Acceptable Use
- You will use the Service in compliance with applicable laws and Shopify's Acceptable Use Policy.
- You will not use the Service to send spam, deceptive content, or content that violates intellectual property rights.
- You will not attempt to reverse-engineer, scrape, or interfere with the operation of the Service.
- You are responsible for the content the Service generates on your behalf and for reviewing it before sending to your end customers.
4. Subscription & Billing
Access to paid features requires a subscription. Subscription fees, plans, and billing cycles are described on our pricing page. Payment is processed by Stripe. Fees are non-refundable except where required by law. We may change prices with at least 30 days' notice; price changes apply at the start of the next billing cycle.
5. Intellectual Property
The Service, including its software, design, content, and methodology, is and remains our exclusive property. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for the duration of your active subscription. You retain ownership of your store data and any content generated specifically for your business.
6. Third-Party Services
The Service integrates with third-party platforms (Shopify, Klaviyo, Anthropic, Stripe, and others). Your use of those platforms is governed by their respective terms. We are not responsible for the availability, accuracy, or performance of third-party services.
7. Data & Privacy
Our handling of your data and your customers' data is described in the Privacy Policy. By using the Service, you acknowledge our processing as described therein. We are committed to GDPR and CCPA compliance and respond to data requests within the legally required timeframes.
Aggregated anonymous analytics: by using the Service you authorize Ermethe S.r.l. to compute and retain aggregated anonymous analytics derived from the conversion events generated by your store, for the purpose of improving the Service and producing industry benchmarks. These analytics contain only structural metadata (e-commerce category, price tier, average order value bucket, language, event type, communication angle, copy length, time-to-conversion, order value) and the merchant identifier in the form of an irreversible SHA-256 hash. No personally identifiable information of your end customers and no proprietary content (such as copy texts, brand name, or product names) is included in the aggregated dataset, which is therefore structurally anonymous. The legal basis is Ermethe's legitimate interest in improving the Service (art. 6(1)(f) GDPR). You may opt out at any time by writing to [email protected]; opting out does not affect your ability to use the Service. See section 6 of the Privacy Policy for full details.
8. Service Availability
We aim to provide the Service with high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance and may release updates that change features. We are not liable for downtime caused by third-party platforms (including Shopify or Klaviyo) or by force majeure events.
9. Disclaimer & Limitation of Liability
The Service is provided "as is" and "as available", without warranty of any kind. To the maximum extent permitted by law, we disclaim all warranties (express or implied), including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, our total liability for any claims arising out of or relating to the Service is limited to the amounts you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or revenue.
10. Suspension & Termination
Suspension by merchant. You may suspend the Service at any time from Dashboard → Settings → Profile → Danger Zone → Suspend. While suspended, the AI generation is paused and no copy is delivered to your customers. Your data, configurations, and Klaviyo flows remain intact. You can reactivate the account at any moment.
Termination by merchant (Right to Erasure, art. 17 GDPR). You may permanently delete your account from Dashboard → Settings → Profile → Danger Zone → Delete account, confirmed via OTP code sent to your registered email. Upon deletion: (a) personal data of your end customers and your merchant credentials are immediately erased; (b) Klaviyo flows installed by the Service are set to draft (not deleted); (c) any active Stripe subscription is set to cancel_at_period_end — the Service remains operational until the end of the already-paid billing period and no pro-rata refund is issued; (d) aggregated anonymous analytics (see Section 7) are retained as they contain no merchant-identifiable information by design. See the Privacy Policy Section 8 for the full processing detail.
Termination by us. We may suspend or terminate your access if you breach these Terms. We will provide notice when reasonably possible. Upon termination by us, we will process data deletion as described in our Privacy Policy.
11. Changes to These Terms
We may update these Terms from time to time. We will notify merchants of significant changes by email or in the dashboard. Continued use of the Service after changes constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of Italy, without regard to conflict of laws principles. Any disputes will be resolved in the competent courts of Italy, except where mandatory consumer protection rules require otherwise.

Termini e Condizioni di Utilizzo (Italiano — versione ufficiale)
I presenti Termini e Condizioni disciplinano l’accesso e l’utilizzo della piattaforma in modalità SaaS denominata “AchillesAI”, accessibile all’indirizzo https://achillesai.app/ (di seguito, la “Piattaforma” o “AchillesAI”), nonché il rapporto contrattuale tra il Fornitore e il Cliente che sottoscrive il Servizio. La Piattaforma è destinata esclusivamente a soggetti che agiscono nell’esercizio della propria attività imprenditoriale, professionale o commerciale e non è rivolta ai consumatori.
Il Fornitore si riserva il diritto di modificare i presenti Termini e Condizioni e la Privacy Policy. Le modifiche saranno rese note al Cliente tramite la Piattaforma con apposito avviso e, a discrezione del Fornitore, anche mediante comunicazione all’indirizzo e-mail associato all’Account. Per quanto non espressamente disciplinato si applicano le disposizioni del Codice Civile e la ulteriore normativa vigente applicabile ai rapporti tra operatori professionali.
ART. 1 DEFINIZIONI
Ai fini del presente contratto, si intende per:

Termini e Condizioni o Contratto: l’insieme delle presenti clausole contrattuali che determinano e definiscono i rapporti tra il Fornitore e il Cliente.
Piattaforma o AchillesAI: il servizio in modalità SaaS accessibile all’indirizzo AchillesAI.ai che, tramite sistemi di intelligenza artificiale, genera testi e contenuti per l’email marketing a partire dai dati messi a disposizione dal Cliente.
Servizio: il servizio di accesso in abbonamento alla Piattaforma, comprensivo dell’elaborazione dei Dati del Cliente e della generazione del Copy, nonché dei servizi accessori disciplinati dai presenti Termini e Condizioni.
Cliente: il soggetto (impresa, professionista o agenzia) che agisce nell’esercizio della propria attività imprenditoriale, professionale o commerciale e che sottoscrive il Servizio.
Agenzia: il Cliente che, tramite un unico Account, gestisce uno o più Sotto-account riferiti a propri clienti.
Sotto-account: il profilo riferito a un cliente dell’Agenzia, gestito dall’Agenzia attraverso il proprio Account.
Utente: la persona fisica autorizzata dal Cliente ad accedere alla Piattaforma tramite le credenziali associate all’Account.
Account: il profilo personale creato all’interno della Piattaforma, associato alle credenziali di accesso e ai dati del Cliente.
ESP: il sistema di email marketing utilizzato dal Cliente (a titolo esemplificativo Klaviyo, ActiveCampaign) integrato con la Piattaforma tramite API.
Dati del Cliente: le proprietà e i dati dei contatti del Cliente, provenienti dall’ESP, trattati dalla Piattaforma per conto del Cliente al fine di generare il Copy.
Copy o Contenuti: i testi e i contenuti generati dal Sistema di Intelligenza Artificiale e resi disponibili al Cliente attraverso la Piattaforma e l’ESP.
Sistema di Intelligenza Artificiale: il sistema tecnologico integrato nella Piattaforma che combina modelli di intelligenza artificiale forniti da soggetti terzi per generare il Copy.
Dashboard: l’area riservata della Piattaforma nella quale il Cliente consulta le metriche di performance, il Copy generato e gli esiti degli A/B test.
Piano Gratuito: la modalità di accesso gratuita e permanente alla Piattaforma, con funzionalità e limiti di utilizzo mensile indicati nella Piattaforma.
Abbonamento: la modalità di accesso a pagamento alla Piattaforma, secondo i piani e le condizioni economiche indicati nella Piattaforma.
Repository anonimizzato: l’archivio di contenuti resi irreversibilmente anonimi che il Fornitore può costituire, previo consenso del Cliente, per finalità statistiche e di ottimizzazione del Sistema di Intelligenza Artificiale.
DPA: l’accordo sul trattamento dei dati personali ai sensi dell’art. 28 del Regolamento UE 2016/679, che disciplina il trattamento dei Dati del Cliente da parte del Fornitore e che costituisce parte integrante del presente Contratto.
ART. 2 OGGETTO DEL CONTRATTO
I presenti Termini e Condizioni disciplinano l’accesso e l’utilizzo della Piattaforma e regolano il rapporto contrattuale tra il Fornitore e il Cliente. Il Servizio è rivolto esclusivamente a operatori professionali, imprese e agenzie e non è destinato ai consumatori ai sensi del Codice del Consumo. Eventuali tolleranze del Fornitore rispetto a comportamenti in violazione delle presenti condizioni non costituiscono rinuncia ai diritti spettanti in base alle stesse. Qualora una clausola risulti nulla o inefficace, la nullità o inefficacia non si estenderà alle restanti clausole del Contratto.
ART. 3 DESCRIZIONE DEL SERVIZIO
AchillesAI è una piattaforma in modalità SaaS che genera testi e contenuti personalizzati per l’email marketing nel settore dell’e-commerce. Il Servizio si collega tramite API all’ESP del Cliente, acquisisce le proprietà e i dati dei contatti, li anonimizza, li elabora tramite il Sistema di Intelligenza Artificiale e genera il Copy, che viene reso disponibile al Cliente e reinserito nell’ESP.
Attraverso la Dashboard il Cliente accede alle metriche di performance, quali il tasso di apertura e il volume di Copy generato, e agli esiti degli A/B test. Le funzionalità disponibili variano in funzione del Piano Gratuito o del piano di Abbonamento sottoscritto.
Il Fornitore si riserva il diritto di aggiornare, modificare o migliorare in ogni momento le funzionalità della Piattaforma, garantendo la sostanziale continuità delle prestazioni oggetto dell’abbonamento.
ART. 4 SISTEMA DI INTELLIGENZA ARTIFICIALE E RESPONSABILITÀ SUI CONTENUTI
La Piattaforma genera il Copy mediante un Sistema di Intelligenza Artificiale che combina modelli forniti da soggetti terzi. In ragione della combinazione di tali strumenti in un servizio nuovo, il Fornitore agisce quale fornitore di un sistema di intelligenza artificiale ai sensi del Regolamento UE 2024/1689 (AI Act) e mette a disposizione, nei termini di legge, la documentazione e le istruzioni relative al sistema. In conformità alla L. 132/2025, il Fornitore dichiara che il Servizio si avvale di sistemi di intelligenza artificiale.
Il Cliente prende atto che il Copy è generato in modo automatico e può contenere errori, imprecisioni, informazioni inesatte o non veritiere (cosiddette allucinazioni). Il Servizio ha ad oggetto un’obbligazione di mezzi e non di risultato. Il Fornitore non garantisce l’esattezza, la completezza, l’accuratezza, la conformità normativa né l’idoneità del Copy a conseguire risultati commerciali o di marketing.
Il Cliente è tenuto a verificare, revisionare e validare il Copy prima di ogni utilizzo o pubblicazione e assume ogni responsabilità editoriale sui Contenuti che diffonde, ivi compresa la loro conformità alle norme in materia di pubblicità, concorrenza, proprietà intellettuale e tutela dei consumatori. Il Fornitore non è responsabile delle decisioni assunte dal Cliente sulla base del Copy né delle conseguenze derivanti dalla sua pubblicazione.
ART. 5 REGISTRAZIONE, ACCOUNT E SICUREZZA
L’accesso al Servizio è consentito previa registrazione, effettuata anche mediante compilazione del modulo dedicato, e creazione di un Account. Per l’attivazione di un Abbonamento è richiesto l’inserimento dei dati della carta di pagamento tramite il fornitore di servizi di pagamento. Al momento della registrazione il Cliente garantisce di agire nell’esercizio della propria attività professionale, di essere legittimato a impegnare il soggetto per conto del quale effettua la sottoscrizione e di fornire dati veritieri, corretti e aggiornati.
Le credenziali di accesso sono personali e non cedibili. Il Cliente è responsabile della loro custodia, dell’utilizzo dell’Account da parte degli Utenti da esso autorizzati e di ogni attività svolta tramite l’Account, e comunica tempestivamente al Fornitore ogni smarrimento o uso non autorizzato delle credenziali.
Il Fornitore adotta misure di sicurezza adeguate. Le password sono conservate in forma cifrata mediante funzioni di hash; le chiavi API e i token di collegamento all’ESP sono cifrati a riposo e resi utilizzabili solo al momento dell’elaborazione.
ART. 6 PIANI, PIANO GRATUITO E ABBONAMENTI
La Piattaforma è fruibile tramite un Piano Gratuito permanente, con un limite massimo di utilizzo mensile pari a 200 testi denominati copy, e tramite piani di Abbonamento a pagamento, con canone mensile pari, a titolo indicativo, a 39, 99 e 149 euro, oltre a piani enterprise definiti su preventivo personalizzato. Le caratteristiche e i limiti di ciascun piano sono indicati nella Piattaforma.
Il passaggio dal Piano Gratuito a un Abbonamento a pagamento avviene esclusivamente mediante un atto espresso del Cliente e non si verifica in modo automatico. Il Piano Gratuito non comporta alcun addebito e resta attivo fino alla sua eventuale disdetta o al passaggio a un piano a pagamento.
ART. 7 PREZZI E PAGAMENTO
I corrispettivi dei piani di Abbonamento sono indicati in euro nella Piattaforma e sono dovuti in via anticipata con cadenza mensile, mediante addebito tramite il fornitore di servizi di pagamento. Gli importi si intendono al netto di IVA e di ogni altra imposta o onere di legge, ove dovuti. In caso di ritardato pagamento decorrono, senza necessità di costituzione in mora, gli interessi previsti dal D.Lgs. 231/2002 in materia di transazioni commerciali, fatto salvo il risarcimento del maggior danno. Il Fornitore si riserva il diritto di modificare i corrispettivi. Le modifiche si applicano a decorrere dal rinnovo mensile successivo alla loro comunicazione, restando fermo il canone già pagato per il periodo in corso.
ART. 8 DURATA, RINNOVO E DISDETTA
L’Abbonamento ha durata mensile e si rinnova automaticamente di mese in mese fino alla disdetta. Il Cliente può disdire l’Abbonamento in qualsiasi momento tramite le funzionalità previste nella Piattaforma. La disdetta deve essere effettuata prima della data di emissione della fattura successiva e ha effetto al termine del periodo mensile già pagato, durante il quale il Cliente continua ad accedere al Servizio. Il canone relativo al periodo mensile in corso non è rimborsabile, neppure in caso di mancato o parziale utilizzo del Servizio. Il Piano Gratuito resta attivo fino a disdetta del Cliente o cessazione del Servizio.
ART. 9 SOSPENSIONE PER MANCATO PAGAMENTO
In caso di mancato o ritardato pagamento del canone alla scadenza, il Fornitore ha facoltà, previa comunicazione al Cliente, di sospendere l’accesso alla Piattaforma e l’erogazione del Servizio fino all’integrale pagamento delle somme dovute, senza che ciò comporti alcuna responsabilità del Fornitore né diritto del Cliente ad alcun rimborso o indennizzo per il periodo di sospensione.
ART. 10 PROTEZIONE DEI DATI PERSONALI E RINVIO AL DPA
Nel trattamento dei Dati del Cliente il Cliente agisce quale titolare del trattamento e il Fornitore quale responsabile del trattamento ai sensi dell’art. 28 del Regolamento UE 2016/679. Il Fornitore tratta i Dati del Cliente esclusivamente per l’esecuzione del Servizio e secondo le istruzioni documentate del Cliente, nei termini disciplinati dal DPA, che costituisce parte integrante del presente Contratto.
Il Cliente garantisce di aver raccolto tutti i consensi e di disporre di una idonea base giuridica per il trattamento dei dati dei propri contatti e per il loro conferimento alla Piattaforma, e ne assume ogni responsabilità. Il Fornitore non gestisce i rapporti con gli interessati, che restano in capo al Cliente in qualità di titolare.
Per l’esecuzione del Servizio il Fornitore si avvale di sub-responsabili, tra cui i fornitori dell’ESP, del servizio di pagamento, del servizio di registrazione e i fornitori terzi dei modelli di intelligenza artificiale, secondo quanto indicato nel DPA. Il trattamento dei dati personali relativi all’Account e alla gestione del rapporto contrattuale, rispetto ai quali il Fornitore è titolare autonomo, è disciplinato nella Privacy Policy.
ART. 11 REPOSITORY ANONIMIZZATO E CONSENSO
Il Fornitore può costituire un Repository anonimizzato di contenuti al fine di svolgere analisi statistiche e di ottimizzare il Sistema di Intelligenza Artificiale. La partecipazione al Repository richiede il consenso esplicito, libero e revocabile del Cliente, prestato mediante apposita adesione distinta e separata rispetto all’accettazione dei presenti Termini e Condizioni.
I contenuti confluiscono nel Repository esclusivamente in forma irreversibilmente anonima, tale da non consentire l’identificazione, diretta o indiretta, del Cliente, dei suoi contatti o dei singoli interessati. I dati così anonimizzati sono utilizzati solo per finalità statistiche aggregate e non possono essere impiegati per casi studio riferibili a uno specifico Cliente in assenza di un separato accordo scritto.
Il Cliente può revocare in qualsiasi momento il consenso, con effetto sui trattamenti successivi. La revoca non incide sui dati già resi irreversibilmente anonimi, che non sono più riconducibili al Cliente.
ART. 12 OBBLIGHI DEL FORNITORE
Il Fornitore si impegna a consentire al Cliente l’accesso al Servizio, a mettere a disposizione la Dashboard e a mantenere la Piattaforma in condizioni di ordinaria efficienza, adottando misure di sicurezza adeguate. Il Fornitore non garantisce che il Servizio sia disponibile in modo ininterrotto e privo di errori; l’accesso può essere temporaneamente sospeso per esigenze di manutenzione, aggiornamento, sicurezza o per cause tecniche, ivi comprese le indisponibilità dell’ESP, dei servizi di pagamento o dei fornitori dei modelli di intelligenza artificiale. Il Fornitore si adopera per ripristinare il Servizio nel più breve tempo possibile.
ART. 13 OBBLIGHI DEL CLIENTE
Il Cliente si impegna a utilizzare la Piattaforma in modo lecito e conforme alle finalità del Servizio e alle presenti condizioni. Il Cliente garantisce la titolarità e la liceità dei Dati del Cliente conferiti alla Piattaforma e di aver acquisito i necessari consensi, verifica e valida il Copy prima di ogni utilizzo assumendone la responsabilità editoriale, e non pubblica Contenuti illeciti, ingannevoli o lesivi di diritti altrui.
È fatto divieto al Cliente di cedere le credenziali a terzi, di rivendere o dare in uso a terzi l’accesso al Servizio al di fuori del modello agenzie disciplinato dai presenti Termini e Condizioni, di decodificare, disassemblare o effettuare reverse engineering della Piattaforma o del Sistema di Intelligenza Artificiale, di aggirarne le misure di sicurezza o di interferire con il funzionamento tecnico del Servizio.
ART. 14 SUPPORTO E ONBOARDING
Il supporto gratuito è limitato alla documentazione self-service resa disponibile dal Fornitore, quali video e FAQ. Su richiesta, il Fornitore può fornire un servizio di supporto e di installazione manuale a pagamento, a tariffa oraria indicata nella Piattaforma, a titolo indicativo compresa tra 100 e 200 euro l’ora. Il Fornitore potrà rendere disponibili ulteriori canali di assistenza, anche automatizzati, con eventuale escalation al supporto umano.
ART. 15 MODELLO AGENZIE E SOTTO-ACCOUNT
L’Agenzia può gestire più Sotto-account riferiti a propri clienti attraverso un unico Account. L’Agenzia è l’unico soggetto contrattualmente responsabile nei confronti del Fornitore per i Sotto-account gestiti, è responsabile dell’utilizzo lecito degli stessi e dei rapporti con i propri clienti, e garantisce la titolarità e la liceità dei dati conferiti tramite i Sotto-account. Salvo diversa indicazione, l’accesso diretto dei clienti dell’Agenzia non è previsto.
ART. 16 PROGRAMMA REFERRAL E ROYALTY
Il Fornitore può riconoscere all’Agenzia o al Cliente che procuri la sottoscrizione di altri clienti una royalty, calcolata in percentuale sui canoni di Abbonamento dei clienti procurati. La royalty matura quando il soggetto pagante è diverso dal soggetto cliente ed è riconosciuta limitatamente ai canoni effettivamente incassati dal Fornitore. Le percentuali possono essere articolate a scaglioni in funzione del numero di clienti procurati, secondo quanto indicato dal Fornitore.
La royalty non è dovuta per i canoni non incassati, oggetto di storno o di rimborso, e cessa in caso di disdetta o cessazione dell’Abbonamento sottostante. Il Fornitore si riserva il diritto di modificare le condizioni del programma per il futuro. Il programma non instaura tra le parti alcun rapporto di lavoro subordinato, societario o di rappresentanza; gli obblighi fiscali relativi alle somme percepite restano in capo al beneficiario.
Qualora il partner sia un’agenzia o comunque un soggetto titolare di partita IVA, il Fornitore si riserva il diritto di subordinare il pagamento delle commissioni maturate alla preventiva emissione di regolare fattura da parte del partner che deve pervenire entro il termine perentorio di giorni 90 a decorrere dalla data di pubblicazione del corrispettivo dovuto, con invio di notifica nei contatti condividi dal partner nella sua area privata. Con l’adesione al programma partner il soggetto accetta espressamente tale condizione, che non potrà formare oggetto di contestazione successiva. Le commissioni sono corrisposte, ove la fattura sia dovuta, previo ricevimento della stessa e nel rispetto della disciplina fiscale applicabile.
ART. 17 PROPRIETÀ INTELLETTUALE E COPY GENERATO
La Piattaforma, il relativo software, l’architettura, le interfacce, la Dashboard, i marchi, il nome a dominio e ogni diritto di proprietà intellettuale e industriale a essi relativo sono di titolarità del Fornitore o allo stesso concessi in licenza e non sono né saranno trasferiti al Cliente, salvo il diritto di utilizzo del Servizio nei limiti e per la durata del rapporto.
Il Fornitore concede al Cliente una licenza d’uso sul Copy generato, per le finalità proprie dell’attività del Cliente. Resta fermo il diritto del Fornitore di utilizzare i dati in forma anonima e aggregata nei limiti di cui all’articolo relativo al Repository anonimizzato. Il Cliente non acquisisce alcun diritto sui modelli, sul software o sul Sistema di Intelligenza Artificiale.
ART. 18 LIMITAZIONE DI RESPONSABILITÀ
La responsabilità del Fornitore è intesa nei limiti degli obblighi assunti con i presenti Termini e Condizioni. Nei limiti massimi consentiti dalla legge, il Fornitore non risponde dei danni indiretti, consequenziali, del mancato guadagno o della perdita di opportunità, né dei danni derivanti dai Contenuti pubblicati dal Cliente, dagli errori o dalle allucinazioni del Sistema di Intelligenza Artificiale, dal mancato conseguimento di risultati di marketing, dai Dati del Cliente conferiti alla Piattaforma o dall’indisponibilità di servizi di terzi.
In ogni caso, la responsabilità complessiva del Fornitore nei confronti del Cliente, per qualsiasi titolo, non potrà eccedere l’importo dei canoni corrisposti dal Cliente nei dodici mesi precedenti l’evento da cui deriva la responsabilità. La presente limitazione non si applica nei casi di dolo o colpa grave.
ART. 19 FORZA MAGGIORE
Il Fornitore non sarà ritenuto responsabile per il mancato o ritardato adempimento delle proprie obbligazioni qualora ciò sia dovuto a circostanze al di fuori del proprio ragionevole controllo, a titolo esemplificativo calamità naturali, pandemie, interruzioni delle reti di telecomunicazione o di energia elettrica, attacchi informatici, indisponibilità dell’ESP, dei servizi di pagamento o dei fornitori dei modelli di intelligenza artificiale. Durante il periodo di forza maggiore l’adempimento delle obbligazioni del Fornitore è sospeso, senza che ciò comporti violazione del contratto. ART. 20 SOSPENSIONE, CESSAZIONE E SORTE DEI DATI
Il Fornitore si riserva il diritto di sospendere o cessare, in tutto o in parte, l’erogazione del Servizio per esigenze tecniche, di sicurezza o di manutenzione, ovvero in caso di violazione da parte del Cliente dei presenti Termini e Condizioni o di utilizzo improprio della Piattaforma. In caso di violazione grave il Fornitore può risolvere il contratto ai sensi dell’art. 1456 c.c., fermo restando quanto previsto in materia di non rimborsabilità del canone e salvo il risarcimento del danno.
Alla cessazione del rapporto, per qualsiasi causa, l’accesso al Servizio cessa. I Dati del Cliente trattati dal Fornitore in qualità di responsabile sono restituiti o cancellati secondo quanto previsto dal DPA. I dati contrattuali e di fatturazione sono conservati per il periodo di dieci anni previsto dagli obblighi di legge, decorso il quale sono cancellati. Restano fermi i dati resi irreversibilmente anonimi confluiti nel Repository anonimizzato in presenza del consenso del Cliente.
ART. 21 MODIFICHE AI TERMINI E CONDIZIONI
Il Fornitore si riserva il diritto di modificare i presenti Termini e Condizioni per adeguarli a sopravvenute esigenze tecniche, organizzative o normative. Le modifiche saranno comunicate al Cliente tramite la Piattaforma o all’indirizzo e-mail associato all’Account e si applicano a decorrere dal rinnovo successivo alla comunicazione, salvo che siano imposte da norme inderogabili di legge.
ART. 22 LEGGE APPLICABILE E FORO COMPETENTE
I presenti Termini e Condizioni sono interamente disciplinati dalla legge italiana. Per qualsiasi controversia relativa alla validità, interpretazione, esecuzione e risoluzione del presente Contratto sarà competente in via esclusiva il Foro di Reggio Emilia, anche nei rapporti con Clienti aventi sede all’estero.
ART. 23 COMUNICAZIONI
Ogni comunicazione relativa al presente Contratto potrà essere inviata al Fornitore all’indirizzo e-mail contact@achillesai.app e al Cliente all’indirizzo e-mail associato all’Account. Le comunicazioni così effettuate si intendono validamente ricevute.
ART. 24 ACCETTAZIONE DEI TERMINI E CONDIZIONI
Il Cliente dichiara di aver letto attentamente, compreso e accettato integralmente i presenti Termini e Condizioni. L’accettazione avviene mediante selezione dell’apposita casella di conferma (cd. point of click) presente sulla Piattaforma al momento della registrazione e costituisce a tutti gli effetti sottoscrizione del presente contratto. ART. 2 SUBJECT MATTER OF THE CONTRACT
These Terms and Conditions govern access to and use of the Platform and regulate the contractual relationship between the Provider and the Client. The Service is intended exclusively for professional operators, businesses, and agencies and is not intended for consumers within the meaning of the Italian Consumer Code. Any tolerance by the Provider of conduct in breach of these terms does not constitute a waiver of the rights arising therefrom. ART. 3 DESCRIPTION OF THE SERVICE

The Provider reserves the right to update, modify, or improve the Platform's functionality at any time, ensuring the substantial continuity of the services covered by the subscription.
ART. 4 ARTIFICIAL INTELLIGENCE SYSTEM AND RESPONSIBILITY FOR CONTENT
The Platform generates the Copy through an Artificial Intelligence System that combines models provided by third parties. Because it combines these tools into a new service, the Provider acts as a provider of an artificial intelligence system within the meaning of EU Regulation 2024/1689 (AI Act) and makes available, within the terms required by law, the documentation and instructions relating to the system. In accordance with Italian Law 132/2025, the Provider declares that the Service makes use of artificial intelligence systems.

ART. 5 REGISTRATION, ACCOUNT, AND SECURITY

Activation of a Subscription requires entering payment card details through the payment service provider. Upon registration, the Client warrants that it is acting in the exercise of its professional activity, that it is authorized to bind the party on whose behalf it is subscribing, and that it is providing truthful, accurate, and up-to-date data.
Login credentials are personal and non-transferable. The Client is responsible for safeguarding them, for the use of the Account by the Users it authorizes, and for all activity carried out through the Account, and shall promptly notify the Provider of any loss or unauthorized use of the credentials.

ART. 6 PLANS, FREE PLAN, AND SUBSCRIPTIONS

ART. 7 PRICES AND PAYMENT

In the event of late payment, interest as provided under Italian Legislative Decree 231/2002 on commercial transactions shall accrue without the need for formal notice of default, without prejudice to compensation for further damages. ART. 8 DURATION, RENEWAL, AND CANCELLATION

ART. 10 PROTECTION OF PERSONAL DATA AND REFERENCE TO THE DPA
In processing the Client Data, the Client acts as data controller and the Provider as data processor within the meaning of art. 28 of EU Regulation 2016/679. The Provider processes the Client Data exclusively for the performance of the Service and in accordance with the Client's documented instructions, under the terms governed by the DPA, which forms an integral part of this Contract.

Participation in the Repository requires the explicit, free, and revocable consent of the Client, given by means of a dedicated opt-in separate and distinct from acceptance of these Terms and Conditions.
Content flows into the Repository exclusively in irreversibly anonymized form, such that it does not allow the direct or indirect identification of the Client, its contacts, or individual data subjects. Data anonymized in this way is used only for aggregated statistical purposes and may not be used for case studies attributable to a specific Client without a separate written agreement.

ART. 12 PROVIDER'S OBLIGATIONS

ART. 13 CLIENT'S OBLIGATIONS

ART. 14 SUPPORT AND ONBOARDING
Free support is limited to self-service documentation made available by the Provider, such as videos and FAQs. Upon request, the Provider may provide paid support and manual installation services, at the hourly rate indicated on the Platform, indicatively between 100 and 200 euros per hour. The Provider may make additional support channels available, including automated ones, with possible escalation to human support.
ART. 15 AGENCY MODEL AND SUB-ACCOUNTS
The Agency may manage multiple Sub-accounts referring to its own clients through a single Account. The Agency is the sole party contractually responsible to the Provider for the Sub-accounts it manages, is responsible for their lawful use and for its relationships with its own clients, and warrants ownership and lawfulness of the data provided through the Sub-accounts. Unless otherwise indicated, direct access by the Agency's clients is not provided for.
ART. 16 REFERRAL AND ROYALTY PROGRAM
The Provider may grant to the Agency or Client that procures the subscription of other clients a royalty, calculated as a percentage of the Subscription fees of the procured clients. The royalty accrues when the paying party is different from the client party and is granted only in relation to fees actually collected by the Provider. Percentages may be tiered according to the number of clients procured, as indicated by the Provider.
The royalty is not due for fees that are not collected, that are reversed, or that are refunded, and ceases in the event of cancellation or discontinuation of the underlying Subscription. The Provider reserves the right to change the terms of the program for the future. ART. 17 INTELLECTUAL PROPERTY AND GENERATED COPY
The Platform, its software, architecture, interfaces, Dashboard, trademarks, domain name, and every intellectual and industrial property right relating thereto belong to the Provider or are licensed to it and are not and will not be transferred to the Client, except for the right to use the Service within the limits and for the duration of the relationship.
The Provider grants the Client a license to use the generated Copy for the purposes of the Client's own business. The Provider's right to use data in anonymous and aggregated form remains unaffected, within the limits set out in the article relating to the Anonymized Repository. The Client does not acquire any rights over the models, the software, or the Artificial Intelligence System.
ART. 18 LIMITATION OF LIABILITY
The Provider's liability is understood within the limits of the obligations assumed under these Terms and Conditions. To the maximum extent permitted by law, the Provider is not liable for indirect or consequential damages, loss of profit or loss of opportunity, nor for damages arising from Content published by the Client, from errors or hallucinations of the Artificial Intelligence System, from the failure to achieve marketing results, from Client Data provided to the Platform, or from the unavailability of third-party services.
In any case, the Provider's overall liability to the Client, on any grounds whatsoever, may not exceed the amount of fees paid by the Client in the twelve months preceding the event giving rise to liability. This limitation does not apply in cases of willful misconduct or gross negligence.
ART. 19 FORCE MAJEURE

Upon termination of the relationship, for any reason, access to the Service ceases. Client Data processed by the Provider as processor is returned or deleted as provided in the DPA. Contractual and billing data is retained for the ten-year period required by law, after which it is deleted. These Terms and Conditions are governed entirely by Italian law. For any dispute relating to the validity, interpretation, performance, and termination of this Contract, the Court of Reggio Emilia shall have exclusive jurisdiction, including in relations with Clients based abroad.
ART. 23 COMMUNICATIONS
Any communication relating to this Contract may be sent to the Provider at the e-mail address contact@achillesai.app and to the Client at the e-mail address associated with the Account. Communications made in this way are deemed validly received.
ART. 24 ACCEPTANCE OF THE TERMS AND CONDITIONS
The Client declares that it has carefully read, understood, and fully accepted these Terms and Conditions. Acceptance takes place by selecting the dedicated confirmation checkbox (so-called point of click) present on the Platform at the time of registration and constitutes, for all purposes, execution of this contract. Pursuant to and for the purposes of articles 1341 and 1342 of the Italian Civil Code, with a second and separate point of click, the Client also declares that it has read, understood, and specifically approved the clauses set out in the following articles: Art. 4 (artificial intelligence, obligation of means, and responsibility for content); Art. 8 (automatic renewal and non-refundability of the fee); Art. 9 (suspension for non-payment); Art. 12 (exclusion of any guarantee of continuity of the Service); Art. 13 (Client's warranties and obligations); Art. 16 (modifiability of the referral program); Art. 18 (limitation of liability); Art. 20 (suspension, termination, express termination clause, and fate of data); Art. 21 (changes to the Terms and Conditions); Art. 22 (competent court). Système d'Intelligence Artificielle : le système technologique intégré à la Plateforme qui combine des modèles d'intelligence artificielle fournis par des tiers pour générer le Copy.
Tableau de bord (Dashboard) : l'espace réservé de la Plateforme dans lequel le Client consulte les indicateurs de performance, le Copy généré et les résultats des tests A/B.
Plan Gratuit : le mode d'accès gratuit et permanent à la Plateforme, avec les fonctionnalités et les limites d'utilisation mensuelle indiquées sur la Plateforme.
Abonnement : le mode d'accès payant à la Plateforme, selon les plans et les conditions économiques indiqués sur la Plateforme.
Répertoire anonymisé : l'archive de contenus rendus irréversiblement anonymes que le Fournisseur peut constituer, sous réserve du consentement du Client, à des fins statistiques et d'optimisation du Système d'Intelligence Artificielle.
DPA : l'accord relatif au traitement des données personnelles au sens de l'art. 28 du Règlement UE 2016/679, qui régit le traitement des Données du Client par le Fournisseur et qui fait partie intégrante du présent Contrat.
ART. 2 OBJET DU CONTRAT
Les présentes Conditions Générales régissent l'accès et l'utilisation de la Plateforme et régissent la relation contractuelle entre le Fournisseur et le Client. Le Service est destiné exclusivement aux opérateurs professionnels, aux entreprises et aux agences et n'est pas destiné aux consommateurs au sens du Code de la consommation italien. Toute tolérance du Fournisseur à l'égard de comportements contraires aux présentes conditions ne constitue pas une renonciation aux droits qui en découlent. Si une clause s'avère nulle ou inefficace, cette nullité ou inefficacité ne s'étendra pas aux autres clauses du Contrat.
ART. 3 DESCRIPTION DU SERVICE
AchillesAI est une plateforme en mode SaaS qui génère des textes et des contenus personnalisés pour l'email marketing dans le secteur du e-commerce. Le Service se connecte via API à l'ESP du Client, récupère les propriétés et les données des contacts, les anonymise, les traite au moyen du Système d'Intelligence Artificielle et génère le Copy, qui est mis à la disposition du Client et réinséré dans l'ESP.
Via le Tableau de bord, le Client accède aux indicateurs de performance, tels que le taux d'ouverture et le volume de Copy généré, ainsi qu'aux résultats des tests A/B. Les fonctionnalités disponibles varient en fonction du Plan Gratuit ou du plan d'Abonnement souscrit.
Le Fournisseur se réserve le droit de mettre à jour, de modifier ou d'améliorer à tout moment les fonctionnalités de la Plateforme, en garantissant la continuité substantielle des prestations faisant l'objet de l'abonnement.
ART. 4 SYSTÈME D'INTELLIGENCE ARTIFICIELLE ET RESPONSABILITÉ SUR LES CONTENUS
La Plateforme génère le Copy au moyen d'un Système d'Intelligence Artificielle qui combine des modèles fournis par des tiers. En raison de la combinaison de ces outils dans un nouveau service, le Fournisseur agit en qualité de fournisseur d'un système d'intelligence artificielle au sens du Règlement UE 2024/1689 (AI Act) et met à disposition, dans les délais légaux, la documentation et les instructions relatives au système. Conformément à la loi italienne L. 132/2025, le Fournisseur déclare que le Service fait appel à des systèmes d'intelligence artificielle.
Le Client prend acte du fait que le Copy est généré automatiquement et peut contenir des erreurs, des imprécisions ou des informations inexactes ou fausses (dites hallucinations). Le Service constitue une obligation de moyens et non de résultat. Le Fournisseur ne garantit ni l'exactitude, ni l'exhaustivité, ni la conformité réglementaire, ni l'aptitude du Copy à atteindre des résultats commerciaux ou marketing.
Le Client est tenu de vérifier, de réviser et de valider le Copy avant toute utilisation ou publication et assume l'entière responsabilité éditoriale des Contenus qu'il diffuse, y compris leur conformité aux règles en matière de publicité, de concurrence, de propriété intellectuelle et de protection des consommateurs. Le Fournisseur n'est pas responsable des décisions prises par le Client sur la base du Copy, ni des conséquences découlant de sa publication.
ART. 5 INSCRIPTION, COMPTE ET SÉCURITÉ
L'accès au Service est autorisé sous réserve d'inscription, pouvant également être effectuée au moyen du formulaire dédié, et de la création d'un Compte. L'activation d'un Abonnement requiert la saisie des données de la carte de paiement via le prestataire de services de paiement. Lors de l'inscription, le Client garantit qu'il agit dans le cadre de son activité professionnelle, qu'il est habilité à engager la personne pour le compte de laquelle il souscrit, et qu'il fournit des données véridiques, exactes et à jour.
Les identifiants de connexion sont personnels et incessibles. Le Client est responsable de leur conservation, de l'utilisation du Compte par les Utilisateurs qu'il autorise et de toute activité effectuée via le Compte, et informe rapidement le Fournisseur de toute perte ou utilisation non autorisée des identifiants.
Le Fournisseur adopte des mesures de sécurité adéquates. Les mots de passe sont conservés sous forme chiffrée au moyen de fonctions de hachage ; les clés API et les jetons de connexion à l'ESP sont chiffrés au repos et ne sont exploitables qu'au moment du traitement.
ART. 6 PLANS, PLAN GRATUIT ET ABONNEMENTS
La Plateforme est accessible via un Plan Gratuit permanent, avec une limite maximale d'utilisation mensuelle de 200 textes dénommés copy, et via des plans d'Abonnement payants, avec une redevance mensuelle s'élevant, à titre indicatif, à 39, 99 et 149 euros, outre des plans entreprise définis sur devis personnalisé. Les caractéristiques et les limites de chaque plan sont indiquées sur la Plateforme.
Le passage du Plan Gratuit à un Abonnement payant s'effectue exclusivement par un acte exprès du Client et ne se produit pas automatiquement. Le Plan Gratuit n'entraîne aucun débit et reste actif jusqu'à sa résiliation éventuelle ou le passage à un plan payant.
ART. 7 PRIX ET PAIEMENT
Les redevances des plans d'Abonnement sont indiquées en euros sur la Plateforme et sont dues à l'avance, sur une base mensuelle, par débit via le prestataire de services de paiement. Les montants s'entendent hors TVA et hors toute autre taxe ou charge légale, le cas échéant dues. En cas de retard de paiement, les intérêts prévus par le décret législatif italien 231/2002 en matière de transactions commerciales courent sans nécessité de mise en demeure, sous réserve de l'indemnisation du préjudice supplémentaire. Le Fournisseur se réserve le droit de modifier les redevances. Les modifications s'appliquent à compter du renouvellement mensuel suivant leur communication, sans incidence sur la redevance déjà payée pour la période en cours.
ART. 8 DURÉE, RENOUVELLEMENT ET RÉSILIATION
L'Abonnement a une durée mensuelle et se renouvelle automatiquement mois après mois jusqu'à résiliation. Le Client peut résilier l'Abonnement à tout moment via les fonctionnalités prévues sur la Plateforme. La résiliation doit être effectuée avant la date d'émission de la facture suivante et prend effet à la fin de la période mensuelle déjà payée, durant laquelle le Client continue d'accéder au Service. La redevance relative à la période mensuelle en cours n'est pas remboursable, même en cas de non-utilisation ou d'utilisation partielle du Service. Le Plan Gratuit reste actif jusqu'à résiliation par le Client ou cessation du Service.
ART. 9 SUSPENSION POUR DÉFAUT DE PAIEMENT
En cas de défaut ou de retard de paiement de la redevance à l'échéance, le Fournisseur a la faculté, après en avoir informé le Client, de suspendre l'accès à la Plateforme et la fourniture du Service jusqu'au paiement intégral des sommes dues, sans que cela n'entraîne une quelconque responsabilité du Fournisseur ni un droit du Client à un remboursement ou une indemnisation pour la période de suspension.
ART. 10 PROTECTION DES DONNÉES PERSONNELLES ET RENVOI AU DPA
Dans le traitement des Données du Client, le Client agit en qualité de responsable du traitement et le Fournisseur en qualité de sous-traitant au sens de l'art. 28 du Règlement UE 2016/679. Le Fournisseur traite les Données du Client exclusivement pour l'exécution du Service et selon les instructions documentées du Client, dans les conditions régies par le DPA, qui fait partie intégrante du présent Contrat.
Le Client garantit avoir recueilli tous les consentements nécessaires et disposer d'une base juridique appropriée pour le traitement des données de ses contacts et pour leur transmission à la Plateforme, et en assume l'entière responsabilité. Le Fournisseur ne gère pas les relations avec les personnes concernées, qui restent à la charge du Client en sa qualité de responsable du traitement.
Pour l'exécution du Service, le Fournisseur a recours à des sous-traitants ultérieurs, parmi lesquels les fournisseurs de l'ESP, du service de paiement, du service d'inscription et les fournisseurs tiers des modèles d'intelligence artificielle, comme indiqué dans le DPA. Le traitement des données personnelles relatives au Compte et à la gestion de la relation contractuelle, pour lequel le Fournisseur est responsable autonome, est régi par la Politique de Confidentialité.
ART. 11 RÉPERTOIRE ANONYMISÉ ET CONSENTEMENT
Le Fournisseur peut constituer un Répertoire anonymisé de contenus afin de réaliser des analyses statistiques et d'optimiser le Système d'Intelligence Artificielle. La participation au Répertoire requiert le consentement explicite, libre et révocable du Client, donné au moyen d'une adhésion spécifique, distincte et séparée de l'acceptation des présentes Conditions Générales.
Les contenus n'intègrent le Répertoire que sous une forme irréversiblement anonyme, ne permettant pas l'identification directe ou indirecte du Client, de ses contacts ou des personnes concernées. Les données ainsi anonymisées ne sont utilisées qu'à des fins statistiques agrégées et ne peuvent être utilisées pour des études de cas se rapportant à un Client spécifique en l'absence d'un accord écrit distinct.
Le Client peut retirer son consentement à tout moment, avec effet sur les traitements ultérieurs. Le retrait n'a pas d'incidence sur les données déjà rendues irréversiblement anonymes, qui ne sont plus rattachables au Client.
ART. 12 OBLIGATIONS DU FOURNISSEUR
Le Fournisseur s'engage à permettre au Client l'accès au Service, à mettre à disposition le Tableau de bord et à maintenir la Plateforme en état de fonctionnement ordinaire, en adoptant des mesures de sécurité adéquates. Le Fournisseur ne garantit pas que le Service soit disponible de manière ininterrompue et exempte d'erreurs ; l'accès peut être temporairement suspendu pour des raisons de maintenance, de mise à jour, de sécurité ou pour des raisons techniques, y compris l'indisponibilité de l'ESP, des services de paiement ou des fournisseurs de modèles d'intelligence artificielle. Le Fournisseur s'efforce de rétablir le Service dans les meilleurs délais.
ART. 13 OBLIGATIONS DU CLIENT
Le Client s'engage à utiliser la Plateforme de manière licite et conforme aux finalités du Service et aux présentes conditions. Le Client garantit la titularité et la licéité des Données du Client transmises à la Plateforme et le fait d'avoir recueilli les consentements nécessaires, vérifie et valide le Copy avant toute utilisation en en assumant la responsabilité éditoriale, et ne publie pas de Contenus illicites, trompeurs ou portant atteinte aux droits d'autrui.
Il est interdit au Client de céder les identifiants à des tiers, de revendre ou de mettre à disposition de tiers l'accès au Service en dehors du modèle agence régi par les présentes Conditions Générales, de décompiler, désassembler ou effectuer une ingénierie inverse de la Plateforme ou du Système d'Intelligence Artificielle, de contourner ses mesures de sécurité ou d'interférer avec le fonctionnement technique du Service.
ART. 14 ASSISTANCE ET ONBOARDING
L'assistance gratuite se limite à la documentation en libre-service mise à disposition par le Fournisseur, telle que des vidéos et des FAQ. Sur demande, le Fournisseur peut fournir un service d'assistance et d'installation manuelle payant, au tarif horaire indiqué sur la Plateforme, à titre indicatif compris entre 100 et 200 euros de l'heure. Le Fournisseur pourra mettre à disposition des canaux d'assistance supplémentaires, y compris automatisés, avec une éventuelle escalade vers une assistance humaine.
ART. 15 MODÈLE AGENCES ET SOUS-COMPTES
L'Agence peut gérer plusieurs Sous-comptes se rapportant à ses propres clients via un seul Compte. L'Agence est la seule partie contractuellement responsable envers le Fournisseur pour les Sous-comptes gérés, est responsable de leur utilisation licite et des relations avec ses propres clients, et garantit la titularité et la licéité des données transmises via les Sous-comptes. Sauf indication contraire, l'accès direct des clients de l'Agence n'est pas prévu.
ART. 16 PROGRAMME DE PARRAINAGE ET DE ROYALTIES
Le Fournisseur peut accorder à l'Agence ou au Client qui procure la souscription d'autres clients une royaltie, calculée en pourcentage des redevances d'Abonnement des clients procurés. La royaltie est acquise lorsque la personne qui paie est différente de la personne cliente et n'est accordée qu'à hauteur des redevances effectivement encaissées par le Fournisseur. Les pourcentages peuvent être échelonnés en fonction du nombre de clients procurés, selon les indications du Fournisseur.
La royaltie n'est pas due pour les redevances non encaissées, ayant fait l'objet d'un storno ou d'un remboursement, et cesse en cas de résiliation ou de cessation de l'Abonnement sous-jacent. Le Fournisseur se réserve le droit de modifier les conditions du programme pour l'avenir. Le programme n'établit entre les parties aucune relation de travail salarié, sociétaire ou de représentation ; les obligations fiscales relatives aux sommes perçues restent à la charge du bénéficiaire.
Lorsque le partenaire est une agence ou, en tout état de cause, une personne titulaire d'un numéro de TVA, le Fournisseur se réserve le droit de subordonner le paiement des commissions acquises à l'émission préalable d'une facture en bonne et due forme par le partenaire, qui doit parvenir dans le délai impératif de 90 jours à compter de la date de publication de la redevance due, avec envoi d'une notification aux contacts partagés par le partenaire dans son espace privé. En adhérant au programme partenaire, la personne accepte expressément cette condition, qui ne pourra faire l'objet d'aucune contestation ultérieure. Les commissions sont versées, lorsque la facture est due, après réception de celle-ci et dans le respect de la réglementation fiscale applicable.
ART. 17 PROPRIÉTÉ INTELLECTUELLE ET COPY GÉNÉRÉ
La Plateforme, le logiciel correspondant, l'architecture, les interfaces, le Tableau de bord, les marques, le nom de domaine et tout droit de propriété intellectuelle et industrielle y afférent appartiennent au Fournisseur ou lui sont concédés sous licence et ne sont ni ne seront transférés au Client, à l'exception du droit d'utilisation du Service dans les limites et pour la durée de la relation.
Le Fournisseur concède au Client une licence d'utilisation sur le Copy généré, aux fins propres de l'activité du Client. Le droit du Fournisseur d'utiliser les données sous forme anonyme et agrégée reste inchangé, dans les limites prévues à l'article relatif au Répertoire anonymisé. Le Client n'acquiert aucun droit sur les modèles, le logiciel ou le Système d'Intelligence Artificielle.
ART. 18 LIMITATION DE RESPONSABILITÉ
La responsabilité du Fournisseur s'entend dans les limites des obligations assumées au titre des présentes Conditions Générales. Dans les limites maximales autorisées par la loi, le Fournisseur ne répond pas des dommages indirects, consécutifs, du manque à gagner ou de la perte de chance, ni des dommages découlant des Contenus publiés par le Client, des erreurs ou des hallucinations du Système d'Intelligence Artificielle, de la non-atteinte de résultats marketing, des Données du Client transmises à la Plateforme ou de l'indisponibilité de services de tiers.
En tout état de cause, la responsabilité globale du Fournisseur envers le Client, à quelque titre que ce soit, ne pourra excéder le montant des redevances versées par le Client au cours des douze mois précédant l'événement dont découle la responsabilité. La présente limitation ne s'applique pas en cas de dol ou de faute lourde.
ART. 19 FORCE MAJEURE
Le Fournisseur ne pourra être tenu responsable de l'inexécution ou du retard dans l'exécution de ses obligations lorsque celle-ci est due à des circonstances échappant à son contrôle raisonnable, telles que, à titre d'exemple, des catastrophes naturelles, des pandémies, des interruptions des réseaux de télécommunications ou d'énergie électrique, des cyberattaques, l'indisponibilité de l'ESP, des services de paiement ou des fournisseurs de modèles d'intelligence artificielle. Pendant la période de force majeure, l'exécution des obligations du Fournisseur est suspendue, sans que cela ne constitue une violation du contrat. Si l'événement se prolonge au-delà d'une période de trois mois, chaque Partie peut résilier le contrat sans obligation d'indemnisation.
ART. 20 SUSPENSION, CESSATION ET SORT DES DONNÉES
Le Fournisseur se réserve le droit de suspendre ou de cesser, en tout ou en partie, la fourniture du Service pour des raisons techniques, de sécurité ou de maintenance, ou en cas de violation par le Client des présentes Conditions Générales ou d'utilisation impropre de la Plateforme. En cas de violation grave, le Fournisseur peut résoudre le contrat conformément à l'art. 1456 du Code civil italien, sans préjudice de ce qui est prévu en matière de non-remboursabilité de la redevance et sous réserve de l'indemnisation du préjudice.
À la cessation de la relation, pour quelque cause que ce soit, l'accès au Service cesse. Les Données du Client traitées par le Fournisseur en qualité de sous-traitant sont restituées ou supprimées conformément au DPA. Les données contractuelles et de facturation sont conservées pendant la période de dix ans prévue par les obligations légales, à l'issue de laquelle elles sont supprimées. Les données rendues irréversiblement anonymes intégrées au Répertoire anonymisé avec le consentement du Client restent inchangées.
ART. 21 MODIFICATIONS DES CONDITIONS GÉNÉRALES
Le Fournisseur se réserve le droit de modifier les présentes Conditions Générales afin de les adapter à des exigences techniques, organisationnelles ou réglementaires nouvelles. Les modifications seront communiquées au Client via la Plateforme ou à l'adresse e-mail associée au Compte et s'appliquent à compter du renouvellement suivant la communication, sauf si elles sont imposées par des normes légales impératives.
ART. 22 LOI APPLICABLE ET JURIDICTION COMPÉTENTE
Les présentes Conditions Générales sont entièrement régies par le droit italien. Pour tout litige relatif à la validité, à l'interprétation, à l'exécution et à la résolution du présent Contrat, le Tribunal de Reggio Emilia sera exclusivement compétent, y compris dans les relations avec des Clients établis à l'étranger.
ART. 23 COMMUNICATIONS
Toute communication relative au présent Contrat pourra être envoyée au Fournisseur à l'adresse e-mail contact@achillesai.app et au Client à l'adresse e-mail associée au Compte. Les communications ainsi effectuées sont réputées valablement reçues.
ART. 24 ACCEPTATION DES CONDITIONS GÉNÉRALES
Le Client déclare avoir lu attentivement, compris et intégralement accepté les présentes Conditions Générales. L'acceptation intervient par la sélection de la case de confirmation dédiée (dit point of click) présente sur la Plateforme au moment de l'inscription et constitue à tous égards la signature du présent contrat. Aux termes et pour les effets des articles 1341 et 1342 du Code civil italien, par un second point of click distinct, le Client déclare également avoir lu, compris et approuvé spécifiquement les clauses figurant aux articles suivants : Art. 4 (intelligence artificielle, obligation de moyens et responsabilité sur les contenus) ; Art. 8 (renouvellement automatique et non-remboursabilité de la redevance) ; Art. 9 (suspension pour défaut de paiement) ; Art. 12 (exclusion de garantie de continuité du Service) ; Art. 13 (garanties et obligations du Client) ; Art. 16 (modifiabilité du programme de parrainage) ; Art. 18 (limitation de responsabilité) ; Art. 20 (suspension, cessation, clause résolutoire expresse et sort des données) ; Art. 21 (modifications des Conditions Générales) ; Art. 22 (juridiction compétente). Le consentement à la participation au Répertoire anonymisé visé à l'Art. 11 est donné séparément et n'est pas compris dans l'acceptation des présentes Conditions Générales.

El Proveedor se reserva el derecho de modificar las presentes Condiciones Generales y la Política de Privacidad. Las modificaciones se pondrán en conocimiento del Cliente a través de la Plataforma mediante aviso específico y, a discreción del Proveedor, también mediante comunicación a la dirección de correo electrónico asociada a la Cuenta. Para lo no expresamente previsto en las presentes, se aplicarán las disposiciones del Código Civil italiano y demás normativa vigente aplicable a las relaciones entre operadores profesionales.
ART. 1 DEFINICIONES
A los efectos del presente contrato, se entiende por:
Proveedor: Ermethe SRL, via 1° Maggio 43, 42042 Fabbrico (RE), Italia, N.I.F./IVA 03035760358, PEC (correo certificado) ermethe@ultracert.it — sujeto que desarrolla, gestiona y pone a disposición la Plataforma AchillesAI.
Condiciones Generales o Contrato: el conjunto de las presentes cláusulas contractuales que determinan y definen las relaciones entre el Proveedor y el Cliente.
Plataforma o AchillesAI: el servicio en modalidad SaaS accesible en la dirección AchillesAI.ai que, mediante sistemas de inteligencia artificial, genera textos y contenidos para el email marketing a partir de los datos puestos a disposición por el Cliente.
Servicio: el servicio de acceso mediante suscripción a la Plataforma, que incluye el tratamiento de los Datos del Cliente y la generación del Copy, así como los servicios accesorios regulados por las presentes Condiciones Generales.
Cliente: el sujeto (empresa, profesional o agencia) que actúa en el ejercicio de su actividad empresarial, profesional o comercial y que suscribe el Servicio.
Agencia: el Cliente que, mediante una única Cuenta, gestiona una o más Subcuentas referidas a sus propios clientes.
Subcuenta: el perfil referido a un cliente de la Agencia, gestionado por la Agencia a través de su propia Cuenta.
Usuario: la persona física autorizada por el Cliente para acceder a la Plataforma mediante las credenciales asociadas a la Cuenta.
Cuenta: el perfil personal creado dentro de la Plataforma, asociado a las credenciales de acceso y a los datos del Cliente.
ESP: el sistema de email marketing utilizado por el Cliente (a título de ejemplo, Klaviyo, ActiveCampaign) integrado con la Plataforma mediante API.
Datos del Cliente: las propiedades y los datos de los contactos del Cliente, procedentes del ESP, tratados por la Plataforma en nombre del Cliente con el fin de generar el Copy.
Copy o Contenidos: los textos y contenidos generados por el Sistema de Inteligencia Artificial y puestos a disposición del Cliente a través de la Plataforma y el ESP.
Sistema de Inteligencia Artificial: el sistema tecnológico integrado en la Plataforma que combina modelos de inteligencia artificial proporcionados por terceros para generar el Copy.
Panel (Dashboard): el área reservada de la Plataforma en la que el Cliente consulta las métricas de rendimiento, el Copy generado y los resultados de las pruebas A/B.
Plan Gratuito: la modalidad de acceso gratuita y permanente a la Plataforma, con las funcionalidades y límites de uso mensual indicados en la Plataforma.
Suscripción: la modalidad de acceso de pago a la Plataforma, según los planes y condiciones económicas indicados en la Plataforma.
Repositorio anonimizado: el archivo de contenidos hechos irreversiblemente anónimos que el Proveedor puede constituir, previo consentimiento del Cliente, con fines estadísticos y de optimización del Sistema de Inteligencia Artificial.
DPA: el acuerdo sobre el tratamiento de datos personales conforme al art. 28 del Reglamento UE 2016/679, que regula el tratamiento de los Datos del Cliente por parte del Proveedor y que forma parte integrante del presente Contrato.
ART. 2 OBJETO DEL CONTRATO
Las presentes Condiciones Generales regulan el acceso y el uso de la Plataforma y regulan la relación contractual entre el Proveedor y el Cliente. El Servicio está destinado exclusivamente a operadores profesionales, empresas y agencias y no está destinado a consumidores en el sentido del Código de Consumo italiano. Cualquier tolerancia del Proveedor respecto de comportamientos contrarios a las presentes condiciones no constituye una renuncia a los derechos que de ellas derivan. Si alguna cláusula resultara nula o ineficaz, dicha nulidad o ineficacia no se extenderá a las restantes cláusulas del Contrato.
ART. 3 DESCRIPCIÓN DEL SERVICIO
AchillesAI es una plataforma en modalidad SaaS que genera textos y contenidos personalizados para el email marketing en el sector del comercio electrónico. El Servicio se conecta mediante API al ESP del Cliente, recupera las propiedades y los datos de los contactos, los anonimiza, los procesa mediante el Sistema de Inteligencia Artificial y genera el Copy, que se pone a disposición del Cliente y se reinserta en el ESP.
A través del Panel, el Cliente accede a las métricas de rendimiento, como la tasa de apertura y el volumen de Copy generado, y a los resultados de las pruebas A/B. Las funcionalidades disponibles varían en función del Plan Gratuito o del plan de Suscripción contratado.
El Proveedor se reserva el derecho de actualizar, modificar o mejorar en cualquier momento las funcionalidades de la Plataforma, garantizando la continuidad sustancial de las prestaciones objeto de la suscripción.
ART. 4 SISTEMA DE INTELIGENCIA ARTIFICIAL Y RESPONSABILIDAD SOBRE LOS CONTENIDOS
La Plataforma genera el Copy mediante un Sistema de Inteligencia Artificial que combina modelos proporcionados por terceros. Debido a la combinación de dichas herramientas en un nuevo servicio, el Proveedor actúa como proveedor de un sistema de inteligencia artificial en el sentido del Reglamento UE 2024/1689 (AI Act) y pone a disposición, en los plazos legales, la documentación e instrucciones relativas al sistema. De conformidad con la Ley italiana 132/2025, el Proveedor declara que el Servicio utiliza sistemas de inteligencia artificial.
El Cliente toma conocimiento de que el Copy se genera de forma automática y puede contener errores, imprecisiones o información inexacta o falsa (las denominadas alucinaciones). El Servicio constituye una obligación de medios y no de resultado. El Proveedor no garantiza la exactitud, integridad, corrección normativa ni la idoneidad del Copy para alcanzar resultados comerciales o de marketing.
El Cliente está obligado a verificar, revisar y validar el Copy antes de cualquier uso o publicación, y asume toda la responsabilidad editorial sobre los Contenidos que difunda, incluida su conformidad con las normas en materia de publicidad, competencia, propiedad intelectual y protección de los consumidores. El Proveedor no es responsable de las decisiones adoptadas por el Cliente sobre la base del Copy ni de las consecuencias derivadas de su publicación.
ART. 5 REGISTRO, CUENTA Y SEGURIDAD
El acceso al Servicio se permite previo registro, que puede efectuarse también mediante la cumplimentación del formulario correspondiente, y la creación de una Cuenta. Para la activación de una Suscripción se requiere la introducción de los datos de la tarjeta de pago a través del proveedor de servicios de pago. Al momento del registro, el Cliente garantiza que actúa en el ejercicio de su actividad profesional, que está legitimado para vincular al sujeto en cuyo nombre suscribe, y que proporciona datos veraces, correctos y actualizados.
Las credenciales de acceso son personales e intransferibles. El Cliente es responsable de su custodia, del uso de la Cuenta por parte de los Usuarios autorizados por él y de toda actividad realizada a través de la Cuenta, y comunicará con prontitud al Proveedor cualquier pérdida o uso no autorizado de las credenciales.
El Proveedor adopta medidas de seguridad adecuadas. Las contraseñas se conservan en forma cifrada mediante funciones hash; las claves API y los tokens de conexión al ESP se cifran en reposo y solo se hacen utilizables en el momento del procesamiento.
ART. 6 PLANES, PLAN GRATUITO Y SUSCRIPCIONES
La Plataforma puede utilizarse mediante un Plan Gratuito permanente, con un límite máximo de uso mensual de 200 textos denominados copy, y mediante planes de Suscripción de pago, con una cuota mensual, a título indicativo, de 39, 99 y 149 euros, además de planes enterprise definidos mediante presupuesto personalizado. Las características y los límites de cada plan se indican en la Plataforma.
El paso del Plan Gratuito a una Suscripción de pago se produce exclusivamente mediante un acto expreso del Cliente y no se produce de forma automática. El Plan Gratuito no conlleva ningún cargo y permanece activo hasta su eventual cancelación o el paso a un plan de pago.
ART. 7 PRECIOS Y PAGO
Las cuotas de los planes de Suscripción se indican en euros en la Plataforma y se adeudan por anticipado con periodicidad mensual, mediante cargo a través del proveedor de servicios de pago. Los importes se entienden sin IVA ni ningún otro impuesto o gravamen legal, cuando proceda. En caso de retraso en el pago, se devengarán, sin necesidad de requerimiento previo, los intereses previstos por el Decreto Legislativo italiano 231/2002 en materia de transacciones comerciales, sin perjuicio de la indemnización por el mayor daño. El Proveedor se reserva el derecho de modificar las cuotas. Las modificaciones se aplicarán a partir de la renovación mensual siguiente a su comunicación, sin afectar a la cuota ya pagada correspondiente al período en curso.
ART. 8 DURACIÓN, RENOVACIÓN Y CANCELACIÓN
La Suscripción tiene una duración mensual y se renueva automáticamente mes a mes hasta su cancelación. El Cliente puede cancelar la Suscripción en cualquier momento a través de las funcionalidades previstas en la Plataforma. La cancelación deberá efectuarse antes de la fecha de emisión de la siguiente factura y surtirá efecto al término del período mensual ya pagado, durante el cual el Cliente continuará teniendo acceso al Servicio. La cuota correspondiente al período mensual en curso no es reembolsable, ni siquiera en caso de falta de uso o uso parcial del Servicio. El Plan Gratuito permanece activo hasta la cancelación por parte del Cliente o el cese del Servicio.
ART. 9 SUSPENSIÓN POR IMPAGO
En caso de impago o retraso en el pago de la cuota a su vencimiento, el Proveedor podrá, previa comunicación al Cliente, suspender el acceso a la Plataforma y la prestación del Servicio hasta el pago íntegro de las cantidades adeudadas, sin que ello implique responsabilidad alguna del Proveedor ni derecho del Cliente a reembolso o indemnización alguna por el período de suspensión.
ART. 10 PROTECCIÓN DE DATOS PERSONALES Y REMISIÓN AL DPA
En el tratamiento de los Datos del Cliente, el Cliente actúa como responsable del tratamiento y el Proveedor como encargado del tratamiento en el sentido del art. 28 del Reglamento UE 2016/679. El Proveedor trata los Datos del Cliente exclusivamente para la ejecución del Servicio y conforme a las instrucciones documentadas del Cliente, en los términos regulados por el DPA, que forma parte integrante del presente Contrato.
El Cliente garantiza haber recabado todos los consentimientos necesarios y disponer de una base jurídica adecuada para el tratamiento de los datos de sus contactos y para su cesión a la Plataforma, asumiendo toda la responsabilidad al respecto. El Proveedor no gestiona las relaciones con los interesados, que corresponden al Cliente en su calidad de responsable del tratamiento.
Para la ejecución del Servicio, el Proveedor recurre a subencargados, entre ellos los proveedores del ESP, del servicio de pago, del servicio de registro y los proveedores terceros de los modelos de inteligencia artificial, según lo indicado en el DPA. El tratamiento de los datos personales relativos a la Cuenta y a la gestión de la relación contractual, respecto de los cuales el Proveedor es responsable autónomo, se regula en la Política de Privacidad.
ART. 11 REPOSITORIO ANONIMIZADO Y CONSENTIMIENTO
El Proveedor podrá constituir un Repositorio anonimizado de contenidos con el fin de realizar análisis estadísticos y optimizar el Sistema de Inteligencia Artificial. La participación en el Repositorio requiere el consentimiento explícito, libre y revocable del Cliente, prestado mediante adhesión específica, distinta y separada de la aceptación de las presentes Condiciones Generales.
Los contenidos se incorporan al Repositorio exclusivamente en forma irreversiblemente anónima, de manera que no permita la identificación directa o indirecta del Cliente, de sus contactos o de los interesados individuales. Los datos así anonimizados se utilizan únicamente con fines estadísticos agregados y no podrán emplearse para casos de estudio referibles a un Cliente específico sin un acuerdo escrito separado.
El Cliente podrá revocar el consentimiento en cualquier momento, con efectos sobre los tratamientos futuros. La revocación no afecta a los datos ya hechos irreversiblemente anónimos, que dejan de ser atribuibles al Cliente.
ART. 12 OBLIGACIONES DEL PROVEEDOR
El Proveedor se compromete a permitir al Cliente el acceso al Servicio, a poner a disposición el Panel y a mantener la Plataforma en condiciones de funcionamiento ordinario, adoptando medidas de seguridad adecuadas. El Proveedor no garantiza que el Servicio esté disponible de forma ininterrumpida y libre de errores; el acceso podrá suspenderse temporalmente por necesidades de mantenimiento, actualización, seguridad o por causas técnicas, incluida la indisponibilidad del ESP, de los servicios de pago o de los proveedores de los modelos de inteligencia artificial. El Proveedor se esforzará por restablecer el Servicio en el menor tiempo posible.
ART. 13 OBLIGACIONES DEL CLIENTE
El Cliente se compromete a utilizar la Plataforma de forma lícita y conforme a las finalidades del Servicio y a las presentes condiciones. El Cliente garantiza la titularidad y la licitud de los Datos del Cliente aportados a la Plataforma y haber obtenido los consentimientos necesarios, verifica y valida el Copy antes de cualquier uso asumiendo la responsabilidad editorial sobre el mismo, y no publica Contenidos ilícitos, engañosos o lesivos de derechos de terceros.
Queda prohibido al Cliente ceder las credenciales a terceros, revender o ceder a terceros el uso del acceso al Servicio fuera del modelo de agencias regulado por las presentes Condiciones Generales, descompilar, desensamblar o realizar ingeniería inversa de la Plataforma o del Sistema de Inteligencia Artificial, eludir sus medidas de seguridad o interferir con el funcionamiento técnico del Servicio.
ART. 14 SOPORTE Y ONBOARDING
El soporte gratuito se limita a la documentación de autoservicio puesta a disposición por el Proveedor, tales como vídeos y preguntas frecuentes. Bajo petición, el Proveedor podrá prestar un servicio de soporte e instalación manual de pago, a la tarifa horaria indicada en la Plataforma, a título indicativo entre 100 y 200 euros la hora. El Proveedor podrá poner a disposición canales de asistencia adicionales, incluso automatizados, con posible escalado a soporte humano.
ART. 15 MODELO DE AGENCIAS Y SUBCUENTAS
La Agencia puede gestionar varias Subcuentas referidas a sus propios clientes a través de una única Cuenta. La Agencia es la única parte contractualmente responsable frente al Proveedor por las Subcuentas gestionadas, es responsable del uso lícito de las mismas y de las relaciones con sus propios clientes, y garantiza la titularidad y la licitud de los datos aportados a través de las Subcuentas. Salvo indicación en contrario, no está prevista el acceso directo de los clientes de la Agencia.
ART. 16 PROGRAMA DE REFERIDOS Y ROYALTIES
El Proveedor podrá reconocer a la Agencia o al Cliente que procure la suscripción de otros clientes una royalty, calculada en porcentaje sobre las cuotas de Suscripción de los clientes procurados. La royalty se devenga cuando el sujeto pagador es distinto del sujeto cliente y se reconoce únicamente en relación con las cuotas efectivamente cobradas por el Proveedor. Los porcentajes podrán articularse en tramos en función del número de clientes procurados, según lo indicado por el Proveedor.
La royalty no se adeuda por las cuotas no cobradas, objeto de anulación o de reembolso, y cesa en caso de cancelación o cese de la Suscripción subyacente. El Proveedor se reserva el derecho de modificar las condiciones del programa para el futuro. El programa no crea entre las partes ninguna relación laboral, societaria o de representación; las obligaciones fiscales relativas a las sumas percibidas corresponden al beneficiario.
Cuando el socio sea una agencia o, en cualquier caso, un sujeto titular de un número de IVA, el Proveedor se reserva el derecho de supeditar el pago de las comisiones devengadas a la previa emisión de la factura correspondiente por parte del socio, que deberá recibirse en el plazo perentorio de 90 días a contar desde la fecha de publicación de la cuota adeudada, con envío de notificación a los contactos compartidos por el socio en su área privada. Al adherirse al programa de socios, el sujeto acepta expresamente esta condición, que no podrá ser objeto de reclamación posterior. Las comisiones se abonan, cuando proceda la factura, previa recepción de la misma y de conformidad con la normativa fiscal aplicable.
ART. 17 PROPIEDAD INTELECTUAL Y COPY GENERADO
La Plataforma, el software correspondiente, la arquitectura, las interfaces, el Panel, las marcas, el nombre de dominio y cualquier derecho de propiedad intelectual e industrial relativo a los mismos son titularidad del Proveedor o le son concedidos bajo licencia, y no son ni serán transferidos al Cliente, salvo el derecho de uso del Servicio dentro de los límites y por la duración de la relación.
El Proveedor concede al Cliente una licencia de uso sobre el Copy generado, para los fines propios de la actividad del Cliente. Se mantiene el derecho del Proveedor a utilizar los datos en forma anónima y agregada dentro de los límites previstos en el artículo relativo al Repositorio anonimizado. El Cliente no adquiere ningún derecho sobre los modelos, el software o el Sistema de Inteligencia Artificial.
ART. 18 LIMITACIÓN DE RESPONSABILIDAD
La responsabilidad del Proveedor se entiende dentro de los límites de las obligaciones asumidas en virtud de las presentes Condiciones Generales. Dentro de los límites máximos permitidos por la ley, el Proveedor no responde de los daños indirectos, consecuenciales, del lucro cesante o de la pérdida de oportunidad, ni de los daños derivados de los Contenidos publicados por el Cliente, de errores o alucinaciones del Sistema de Inteligencia Artificial, de la falta de consecución de resultados de marketing, de los Datos del Cliente aportados a la Plataforma o de la indisponibilidad de servicios de terceros.
En cualquier caso, la responsabilidad global del Proveedor frente al Cliente, por cualquier concepto, no podrá exceder el importe de las cuotas abonadas por el Cliente en los doce meses anteriores al hecho del que derive la responsabilidad. La presente limitación no se aplica en los casos de dolo o culpa grave.
ART. 19 FUERZA MAYOR
El Proveedor no será responsable del incumplimiento o del retraso en el cumplimiento de sus obligaciones cuando ello se deba a circunstancias ajenas a su control razonable, a título de ejemplo catástrofes naturales, pandemias, interrupciones de las redes de telecomunicaciones o de energía eléctrica, ciberataques, indisponibilidad del ESP, de los servicios de pago o de los proveedores de los modelos de inteligencia artificial. Durante el período de fuerza mayor, el cumplimiento de las obligaciones del Proveedor queda suspendido, sin que ello implique incumplimiento del contrato. Si el evento se prolonga durante un período superior a tres meses, cualquiera de las Partes podrá resolver el contrato sin obligación de indemnización.
ART. 20 SUSPENSIÓN, CESE Y DESTINO DE LOS DATOS
El Proveedor se reserva el derecho de suspender o cesar, total o parcialmente, la prestación del Servicio por necesidades técnicas, de seguridad o de mantenimiento, o en caso de incumplimiento por parte del Cliente de las presentes Condiciones Generales o de uso indebido de la Plataforma. En caso de incumplimiento grave, el Proveedor podrá resolver el contrato conforme al art. 1456 del Código Civil italiano, sin perjuicio de lo previsto en materia de no reembolso de la cuota y sin perjuicio de la indemnización por daños.
Al cese de la relación, por cualquier causa, el acceso al Servicio cesará. Los Datos del Cliente tratados por el Proveedor en calidad de encargado se devuelven o eliminan conforme a lo previsto en el DPA. Los datos contractuales y de facturación se conservan durante el período de diez años previsto por las obligaciones legales, transcurrido el cual se eliminan. Se mantienen los datos hechos irreversiblemente anónimos incorporados al Repositorio anonimizado con el consentimiento del Cliente.
ART. 21 MODIFICACIONES DE LAS CONDICIONES GENERALES
El Proveedor se reserva el derecho de modificar las presentes Condiciones Generales para adaptarlas a necesidades técnicas, organizativas o normativas sobrevenidas. Las modificaciones se comunicarán al Cliente a través de la Plataforma o a la dirección de correo electrónico asociada a la Cuenta y se aplicarán a partir de la renovación siguiente a la comunicación, salvo que vengan impuestas por normas legales imperativas.
ART. 22 LEY APLICABLE Y FUERO COMPETENTE
Las presentes Condiciones Generales se rigen íntegramente por la ley italiana. Para cualquier controversia relativa a la validez, interpretación, ejecución y resolución del presente Contrato será exclusivamente competente el Tribunal de Reggio Emilia, incluso en las relaciones con Clientes domiciliados en el extranjero.
ART. 23 COMUNICACIONES
Cualquier comunicación relativa al presente Contrato podrá enviarse al Proveedor a la dirección de correo electrónico contact@achillesai.app y al Cliente a la dirección de correo electrónico asociada a la Cuenta. Las comunicaciones así efectuadas se considerarán válidamente recibidas.
ART. 24 ACEPTACIÓN DE LAS CONDICIONES GENERALES
El Cliente declara haber leído atentamente, comprendido y aceptado íntegramente las presentes Condiciones Generales. La aceptación se produce mediante la selección de la casilla de confirmación correspondiente (denominado point of click) presente en la Plataforma en el momento del registro y constituye a todos los efectos la suscripción del presente contrato. De conformidad con y a los efectos de los artículos 1341 y 1342 del Código Civil italiano, mediante un segundo y distinto point of click, el Cliente declara además haber leído, comprendido y aprobado específicamente las cláusulas contenidas en los siguientes artículos: Art. 4 (inteligencia artificial, obligación de medios y responsabilidad sobre los contenidos); Art. 8 (renovación automática y no reembolso de la cuota); Art. 9 (suspensión por impago); Art. 12 (exclusión de garantía de continuidad del Servicio); Art. 13 (garantías y obligaciones del Cliente); Art. 16 (modificabilidad del programa de referidos); Art. 18 (limitación de responsabilidad); Art. 20 (suspensión, cese, cláusula resolutoria expresa y destino de los datos); Art. 21 (modificaciones de las Condiciones Generales); Art. 22 (fuero competente). El consentimiento a la participación en el Repositorio anonimizado previsto en el Art. 11 se presta por separado y no está incluido en la aceptación de las presentes Condiciones Generales.

Die vorliegenden Allgemeinen Geschäftsbedingungen regeln den Zugang zu und die Nutzung der SaaS-Plattform mit der Bezeichnung „AchillesAI", erreichbar unter https://achillesai.app/ (im Folgenden die „Plattform" oder „AchillesAI"), sowie das Vertragsverhältnis zwischen dem Anbieter und dem Kunden, der den Dienst abonniert. Die Plattform richtet sich ausschließlich an Personen, die im Rahmen ihrer unternehmerischen, beruflichen oder gewerblichen Tätigkeit handeln, und ist nicht für Verbraucher bestimmt.
Der Anbieter behält sich das Recht vor, die vorliegenden Allgemeinen Geschäftsbedingungen und die Datenschutzerklärung zu ändern. Änderungen werden dem Kunden über die Plattform mittels eines entsprechenden Hinweises sowie, nach Ermessen des Anbieters, auch durch Mitteilung an die mit dem Konto verknüpfte E-Mail-Adresse bekannt gegeben. Für alles, was hierin nicht ausdrücklich geregelt ist, gelten die Bestimmungen des italienischen Zivilgesetzbuchs sowie die weiteren geltenden Vorschriften für Beziehungen zwischen professionellen Wirtschaftsteilnehmern.
ART. 1 DEFINITIONEN
Für die Zwecke dieses Vertrags gelten folgende Begriffsbestimmungen:
Anbieter: Ermethe SRL, via 1° Maggio 43, 42042 Fabbrico (RE), Italien, USt-IdNr. 03035760358, zertifizierte E-Mail (PEC) ermethe@ultracert.it — die Partei, die die Plattform AchillesAI entwickelt, verwaltet und zur Verfügung stellt.
Allgemeine Geschäftsbedingungen oder Vertrag: die Gesamtheit der vorliegenden vertraglichen Klauseln, die die Beziehungen zwischen dem Anbieter und dem Kunden bestimmen und festlegen.
Plattform oder AchillesAI: der SaaS-Dienst, erreichbar unter AchillesAI.ai, der mittels Systemen künstlicher Intelligenz Texte und Inhalte für das E-Mail-Marketing auf Grundlage der vom Kunden zur Verfügung gestellten Daten generiert.
Dienst: der abonnementbasierte Zugangsdienst zur Plattform, einschließlich der Verarbeitung der Kundendaten und der Erstellung des Copy sowie der Nebenleistungen, die durch die vorliegenden Allgemeinen Geschäftsbedingungen geregelt werden.
Kunde: die Person (Unternehmen, Freiberufler oder Agentur), die im Rahmen ihrer unternehmerischen, beruflichen oder gewerblichen Tätigkeit handelt und den Dienst abonniert.
Agentur: der Kunde, der über ein einziges Konto einen oder mehrere Unterkonten verwaltet, die sich auf seine eigenen Kunden beziehen.
Unterkonto: das Profil, das sich auf einen Kunden der Agentur bezieht und von der Agentur über ihr eigenes Konto verwaltet wird.
Benutzer: die vom Kunden autorisierte natürliche Person, die mittels der mit dem Konto verknüpften Zugangsdaten auf die Plattform zugreift.
Konto: das innerhalb der Plattform erstellte persönliche Profil, das mit den Zugangsdaten und den Daten des Kunden verknüpft ist.
ESP: das vom Kunden verwendete E-Mail-Marketing-System (beispielsweise Klaviyo, ActiveCampaign), das über eine API in die Plattform integriert ist.
Kundendaten: die vom ESP stammenden Eigenschaften und Kontaktdaten des Kunden, die von der Plattform im Auftrag des Kunden zum Zweck der Erstellung des Copy verarbeitet werden.
Copy oder Inhalte: die vom KI-System erstellten Texte und Inhalte, die dem Kunden über die Plattform und den ESP zur Verfügung gestellt werden.
KI-System (System künstlicher Intelligenz): das in die Plattform integrierte technologische System, das von Dritten bereitgestellte Modelle künstlicher Intelligenz kombiniert, um den Copy zu erstellen.
Dashboard: der geschützte Bereich der Plattform, in dem der Kunde Leistungskennzahlen, den erstellten Copy und die Ergebnisse von A/B-Tests einsehen kann.
Kostenloser Plan: die kostenlose und dauerhafte Zugangsart zur Plattform mit den auf der Plattform angegebenen Funktionen und monatlichen Nutzungsgrenzen.
Abonnement: die kostenpflichtige Zugangsart zur Plattform gemäß den auf der Plattform angegebenen Plänen und wirtschaftlichen Bedingungen.
Anonymisiertes Repository: das Archiv unwiderruflich anonymisierter Inhalte, das der Anbieter vorbehaltlich der Zustimmung des Kunden zu statistischen Zwecken und zur Optimierung des KI-Systems einrichten kann.
DPA (Auftragsverarbeitungsvertrag): die Vereinbarung über die Verarbeitung personenbezogener Daten gemäß Art. 28 der EU-Verordnung 2016/679, die die Verarbeitung der Kundendaten durch den Anbieter regelt und wesentlicher Bestandteil dieses Vertrags ist.
ART. 2 VERTRAGSGEGENSTAND
Die vorliegenden Allgemeinen Geschäftsbedingungen regeln den Zugang zu und die Nutzung der Plattform und regeln das Vertragsverhältnis zwischen dem Anbieter und dem Kunden. Der Dienst richtet sich ausschließlich an professionelle Wirtschaftsteilnehmer, Unternehmen und Agenturen und ist nicht für Verbraucher im Sinne des italienischen Verbrauchergesetzbuchs bestimmt. Eine etwaige Duldung von gegen diese Bedingungen verstoßendem Verhalten durch den Anbieter stellt keinen Verzicht auf die sich daraus ergebenden Rechte dar. Sollte sich eine Klausel als nichtig oder unwirksam erweisen, so berührt diese Nichtigkeit oder Unwirksamkeit nicht die übrigen Klauseln des Vertrags.
ART. 3 BESCHREIBUNG DES DIENSTES
AchillesAI ist eine SaaS-Plattform, die personalisierte Texte und Inhalte für das E-Mail-Marketing im E-Commerce-Bereich erstellt. Der Dienst verbindet sich über eine API mit dem ESP des Kunden, ruft die Eigenschaften und Kontaktdaten ab, anonymisiert sie, verarbeitet sie mittels des KI-Systems und erstellt den Copy, der dem Kunden zur Verfügung gestellt und wieder in den ESP eingefügt wird.
Über das Dashboard erhält der Kunde Zugang zu Leistungskennzahlen wie der Öffnungsrate und dem Volumen des erstellten Copy sowie zu den Ergebnissen von A/B-Tests. Die verfügbaren Funktionen variieren je nach Kostenlosem Plan oder gebuchtem Abonnement-Plan.
Der Anbieter behält sich das Recht vor, die Funktionen der Plattform jederzeit zu aktualisieren, zu ändern oder zu verbessern, wobei die wesentliche Kontinuität der vom Abonnement erfassten Leistungen gewährleistet bleibt.
ART. 4 KI-SYSTEM UND VERANTWORTUNG FÜR INHALTE
Die Plattform erstellt den Copy mittels eines KI-Systems, das von Dritten bereitgestellte Modelle kombiniert. Aufgrund der Kombination dieser Werkzeuge zu einem neuen Dienst handelt der Anbieter als Anbieter eines KI-Systems im Sinne der EU-Verordnung 2024/1689 (AI Act) und stellt innerhalb der gesetzlichen Fristen die entsprechende Dokumentation und Anleitungen zum System zur Verfügung. In Übereinstimmung mit dem italienischen Gesetz L. 132/2025 erklärt der Anbieter, dass der Dienst Systeme künstlicher Intelligenz nutzt.
Der Kunde nimmt zur Kenntnis, dass der Copy automatisch erstellt wird und Fehler, Ungenauigkeiten oder unrichtige bzw. falsche Informationen (sogenannte Halluzinationen) enthalten kann. Der Dienst stellt eine Bemühenspflicht und keine Erfolgspflicht dar. Der Anbieter garantiert weder die Richtigkeit, Vollständigkeit, Genauigkeit noch die Rechtskonformität oder Eignung des Copy zur Erzielung kommerzieller Ergebnisse oder Marketingergebnisse.
Der Kunde ist verpflichtet, den Copy vor jeder Verwendung oder Veröffentlichung zu prüfen, zu überarbeiten und zu validieren, und übernimmt die volle redaktionelle Verantwortung für die von ihm verbreiteten Inhalte, einschließlich deren Übereinstimmung mit den Vorschriften über Werbung, Wettbewerb, geistiges Eigentum und Verbraucherschutz. Der Anbieter ist nicht verantwortlich für Entscheidungen, die der Kunde auf Grundlage des Copy trifft, noch für die Folgen, die sich aus dessen Veröffentlichung ergeben.
ART. 5 REGISTRIERUNG, KONTO UND SICHERHEIT
Der Zugang zum Dienst wird nach vorheriger Registrierung gewährt, die auch durch Ausfüllen des entsprechenden Formulars erfolgen kann, sowie nach Erstellung eines Kontos. Für die Aktivierung eines Abonnements ist die Eingabe der Zahlungskartendaten über den Zahlungsdienstleister erforderlich. Bei der Registrierung garantiert der Kunde, dass er im Rahmen seiner beruflichen Tätigkeit handelt, dass er berechtigt ist, die Partei zu verpflichten, in deren Namen er das Abonnement abschließt, und dass er wahrheitsgemäße, korrekte und aktuelle Daten angibt.
Die Zugangsdaten sind persönlich und nicht übertragbar. Der Kunde ist verantwortlich für deren Aufbewahrung, für die Nutzung des Kontos durch die von ihm autorisierten Benutzer sowie für jede über das Konto durchgeführte Aktivität und teilt dem Anbieter unverzüglich jeden Verlust oder unbefugten Gebrauch der Zugangsdaten mit.
Der Anbieter trifft angemessene Sicherheitsmaßnahmen. Passwörter werden mittels Hash-Funktionen in verschlüsselter Form gespeichert; API-Schlüssel und Verbindungstoken zum ESP werden im Ruhezustand verschlüsselt und erst zum Zeitpunkt der Verarbeitung nutzbar gemacht.
ART. 6 PLÄNE, KOSTENLOSER PLAN UND ABONNEMENTS
Die Plattform kann über einen dauerhaften Kostenlosen Plan mit einer monatlichen Nutzungsobergrenze von 200 als Copy bezeichneten Texten sowie über kostenpflichtige Abonnement-Pläne mit einer monatlichen Gebühr von indikativ 39, 99 und 149 Euro genutzt werden, zusätzlich zu Enterprise-Plänen, die auf Basis eines individuellen Angebots festgelegt werden. Die Merkmale und Grenzen jedes Plans sind auf der Plattform angegeben.
Der Übergang vom Kostenlosen Plan zu einem kostenpflichtigen Abonnement erfolgt ausschließlich durch eine ausdrückliche Handlung des Kunden und nicht automatisch. Der Kostenlose Plan verursacht keine Kosten und bleibt aktiv bis zu seiner etwaigen Kündigung oder dem Übergang zu einem kostenpflichtigen Plan.
ART. 7 PREISE UND ZAHLUNG
Die Gebühren für die Abonnement-Pläne sind in Euro auf der Plattform angegeben und werden im Voraus auf monatlicher Basis durch Abbuchung über den Zahlungsdienstleister fällig. Die Beträge verstehen sich zuzüglich Mehrwertsteuer und etwaiger weiterer gesetzlich geschuldeter Steuern oder Abgaben. Bei verspäteter Zahlung fallen ohne Notwendigkeit einer Mahnung die im italienischen Gesetzesdekret 231/2002 über Handelsgeschäfte vorgesehenen Verzugszinsen an, unbeschadet des Ersatzes eines weitergehenden Schadens. Der Anbieter behält sich das Recht vor, die Gebühren zu ändern. Änderungen gelten ab der auf ihre Mitteilung folgenden monatlichen Verlängerung, unbeschadet der bereits für den laufenden Zeitraum gezahlten Gebühr.
ART. 8 LAUFZEIT, VERLÄNGERUNG UND KÜNDIGUNG
Das Abonnement hat eine monatliche Laufzeit und verlängert sich automatisch von Monat zu Monat bis zur Kündigung. Der Kunde kann das Abonnement jederzeit über die auf der Plattform vorgesehenen Funktionen kündigen. Die Kündigung muss vor dem Ausstellungsdatum der nächsten Rechnung erfolgen und wird zum Ende des bereits bezahlten Monatszeitraums wirksam, während dessen der Kunde weiterhin Zugang zum Dienst hat. Die Gebühr für den laufenden Monatszeitraum ist nicht erstattungsfähig, auch nicht im Falle einer Nichtnutzung oder teilweisen Nutzung des Dienstes. Der Kostenlose Plan bleibt aktiv bis zur Kündigung durch den Kunden oder zur Einstellung des Dienstes.
ART. 9 AUSSETZUNG BEI ZAHLUNGSVERZUG
Im Falle der Nichtzahlung oder verspäteten Zahlung der Gebühr bei Fälligkeit ist der Anbieter berechtigt, nach vorheriger Mitteilung an den Kunden den Zugang zur Plattform und die Erbringung des Dienstes bis zur vollständigen Zahlung der geschuldeten Beträge auszusetzen, ohne dass dies eine Haftung des Anbieters oder ein Recht des Kunden auf Erstattung oder Entschädigung für den Aussetzungszeitraum begründet.
ART. 10 SCHUTZ PERSONENBEZOGENER DATEN UND VERWEIS AUF DEN DPA
Bei der Verarbeitung der Kundendaten handelt der Kunde als Verantwortlicher und der Anbieter als Auftragsverarbeiter im Sinne von Art. 28 der EU-Verordnung 2016/679. Der Anbieter verarbeitet die Kundendaten ausschließlich zur Erfüllung des Dienstes und gemäß den dokumentierten Anweisungen des Kunden, im Rahmen der im DPA geregelten Bedingungen, der wesentlicher Bestandteil dieses Vertrags ist.
Der Kunde garantiert, alle erforderlichen Einwilligungen eingeholt zu haben und über eine geeignete Rechtsgrundlage für die Verarbeitung der Daten seiner Kontakte und deren Weitergabe an die Plattform zu verfügen, und übernimmt hierfür die volle Verantwortung. Der Anbieter verwaltet nicht die Beziehungen zu den betroffenen Personen, die in der Verantwortung des Kunden als Verantwortlicher verbleiben.
Für die Erbringung des Dienstes bedient sich der Anbieter Unterauftragsverarbeitern, darunter die Anbieter des ESP, des Zahlungsdienstes, des Registrierungsdienstes sowie die Drittanbieter der KI-Modelle, wie im DPA angegeben. Die Verarbeitung personenbezogener Daten in Bezug auf das Konto und die Verwaltung des Vertragsverhältnisses, für die der Anbieter eigenständig Verantwortlicher ist, wird in der Datenschutzerklärung geregelt.
ART. 11 ANONYMISIERTES REPOSITORY UND EINWILLIGUNG
Der Anbieter kann ein Anonymisiertes Repository von Inhalten einrichten, um statistische Analysen durchzuführen und das KI-System zu optimieren. Die Teilnahme am Repository erfordert die ausdrückliche, freie und widerrufliche Einwilligung des Kunden, die durch einen gesonderten Beitritt erteilt wird, der sich von der Annahme der vorliegenden Allgemeinen Geschäftsbedingungen unterscheidet und getrennt davon erfolgt.
Die Inhalte fließen ausschließlich in unwiderruflich anonymisierter Form in das Repository ein, sodass eine direkte oder indirekte Identifizierung des Kunden, seiner Kontakte oder der einzelnen betroffenen Personen nicht möglich ist. Die auf diese Weise anonymisierten Daten werden ausschließlich zu aggregierten statistischen Zwecken verwendet und dürfen ohne eine gesonderte schriftliche Vereinbarung nicht für Fallstudien verwendet werden, die einem bestimmten Kunden zugeordnet werden können.
Der Kunde kann die Einwilligung jederzeit mit Wirkung für künftige Verarbeitungen widerrufen. Der Widerruf berührt nicht die bereits unwiderruflich anonymisierten Daten, die nicht mehr auf den Kunden zurückgeführt werden können.
ART. 12 PFLICHTEN DES ANBIETERS
Der Anbieter verpflichtet sich, dem Kunden Zugang zum Dienst zu gewähren, das Dashboard zur Verfügung zu stellen und die Plattform in ordnungsgemäßem Betriebszustand zu halten, wobei angemessene Sicherheitsmaßnahmen getroffen werden. Der Anbieter garantiert nicht, dass der Dienst unterbrechungsfrei und fehlerfrei verfügbar ist; der Zugang kann vorübergehend aus Gründen der Wartung, Aktualisierung, Sicherheit oder aus technischen Gründen ausgesetzt werden, einschließlich der Nichtverfügbarkeit des ESP, der Zahlungsdienste oder der Anbieter der KI-Modelle. Der Anbieter bemüht sich, den Dienst schnellstmöglich wiederherzustellen.
ART. 13 PFLICHTEN DES KUNDEN
Der Kunde verpflichtet sich, die Plattform rechtmäßig und im Einklang mit den Zwecken des Dienstes und den vorliegenden Bedingungen zu nutzen. Der Kunde garantiert die Rechtsinhaberschaft und Rechtmäßigkeit der der Plattform zur Verfügung gestellten Kundendaten sowie die Einholung der erforderlichen Einwilligungen, überprüft und validiert den Copy vor jeder Verwendung unter Übernahme der redaktionellen Verantwortung dafür und veröffentlicht keine rechtswidrigen, irreführenden oder Rechte Dritter verletzenden Inhalte.
Es ist dem Kunden untersagt, die Zugangsdaten an Dritte weiterzugeben, den Zugang zum Dienst außerhalb des durch die vorliegenden Allgemeinen Geschäftsbedingungen geregelten Agenturmodells an Dritte weiterzuverkaufen oder zu überlassen, die Plattform oder das KI-System zu dekompilieren, zu disassemblieren oder einem Reverse Engineering zu unterziehen, deren Sicherheitsmaßnahmen zu umgehen oder in den technischen Betrieb des Dienstes einzugreifen.
ART. 14 SUPPORT UND ONBOARDING
Der kostenlose Support beschränkt sich auf die vom Anbieter zur Verfügung gestellte Selbstbedienungsdokumentation, wie Videos und FAQs. Auf Anfrage kann der Anbieter einen kostenpflichtigen Support- und manuellen Installationsdienst zu dem auf der Plattform angegebenen Stundensatz anbieten, indikativ zwischen 100 und 200 Euro pro Stunde. Der Anbieter kann weitere, auch automatisierte, Support-Kanäle zur Verfügung stellen, mit möglicher Eskalation an den menschlichen Support.
ART. 15 AGENTURMODELL UND UNTERKONTEN
Die Agentur kann über ein einziges Konto mehrere Unterkonten verwalten, die sich auf ihre eigenen Kunden beziehen. Die Agentur ist die einzige gegenüber dem Anbieter vertraglich verantwortliche Partei für die verwalteten Unterkonten, ist verantwortlich für deren rechtmäßige Nutzung und für die Beziehungen zu ihren eigenen Kunden und garantiert die Rechtsinhaberschaft und Rechtmäßigkeit der über die Unterkonten bereitgestellten Daten. Sofern nicht anders angegeben, ist ein direkter Zugang der Kunden der Agentur nicht vorgesehen.
ART. 16 EMPFEHLUNGS- UND PROVISIONSPROGRAMM
Der Anbieter kann der Agentur oder dem Kunden, die die Anmeldung weiterer Kunden vermitteln, eine Provision gewähren, die prozentual auf Grundlage der Abonnementgebühren der vermittelten Kunden berechnet wird. Die Provision entsteht, wenn die zahlende Partei nicht mit der Kundenpartei identisch ist, und wird nur in Bezug auf die vom Anbieter tatsächlich vereinnahmten Gebühren gewährt. Die Prozentsätze können nach Anzahl der vermittelten Kunden gestaffelt sein, gemäß den Angaben des Anbieters.
Die Provision ist nicht geschuldet für nicht vereinnahmte, stornierte oder rückerstattete Gebühren und entfällt im Falle der Kündigung oder Beendigung des zugrunde liegenden Abonnements. Der Anbieter behält sich das Recht vor, die Bedingungen des Programms für die Zukunft zu ändern. Das Programm begründet zwischen den Parteien kein Arbeits-, Gesellschafts- oder Vertretungsverhältnis; die steuerlichen Pflichten in Bezug auf die erhaltenen Beträge verbleiben beim Begünstigten.
Ist der Partner eine Agentur oder in jedem Fall eine Partei mit Umsatzsteuer-Identifikationsnummer, behält sich der Anbieter das Recht vor, die Zahlung der angefallenen Provisionen von der vorherigen Ausstellung einer ordnungsgemäßen Rechnung durch den Partner abhängig zu machen, die innerhalb der Ausschlussfrist von 90 Tagen ab dem Datum der Veröffentlichung der geschuldeten Gebühr eingehen muss, wobei eine Benachrichtigung an die vom Partner in seinem privaten Bereich geteilten Kontakte gesendet wird. Mit dem Beitritt zum Partnerprogramm akzeptiert die Partei diese Bedingung ausdrücklich, die anschließend nicht angefochten werden kann. Provisionen werden, sofern eine Rechnung geschuldet ist, nach deren Erhalt und unter Beachtung der geltenden Steuervorschriften ausgezahlt.
ART. 17 GEISTIGES EIGENTUM UND ERSTELLTER COPY
Die Plattform, die zugehörige Software, die Architektur, die Schnittstellen, das Dashboard, die Marken, der Domainname und alle damit verbundenen Rechte des geistigen und gewerblichen Eigentums stehen im Eigentum des Anbieters oder sind ihm lizenziert und werden dem Kunden nicht übertragen, mit Ausnahme des Nutzungsrechts am Dienst im Rahmen und für die Dauer des Vertragsverhältnisses.
Der Anbieter gewährt dem Kunden eine Nutzungslizenz für den erstellten Copy zu den eigenen Zwecken der Geschäftstätigkeit des Kunden. Das Recht des Anbieters, die Daten in anonymer und aggregierter Form im Rahmen der im Artikel über das Anonymisierte Repository festgelegten Grenzen zu nutzen, bleibt unberührt. Der Kunde erwirbt keine Rechte an den Modellen, der Software oder dem KI-System.
ART. 18 HAFTUNGSBESCHRÄNKUNG
Die Haftung des Anbieters ist auf die im Rahmen der vorliegenden Allgemeinen Geschäftsbedingungen übernommenen Pflichten beschränkt. Im gesetzlich maximal zulässigen Umfang haftet der Anbieter nicht für indirekte oder Folgeschäden, entgangenen Gewinn oder entgangene Geschäftschancen, noch für Schäden, die aus den vom Kunden veröffentlichten Inhalten, aus Fehlern oder Halluzinationen des KI-Systems, aus dem Nichterreichen von Marketingergebnissen, aus den der Plattform zur Verfügung gestellten Kundendaten oder aus der Nichtverfügbarkeit von Drittanbieterdiensten resultieren.
In jedem Fall darf die Gesamthaftung des Anbieters gegenüber dem Kunden, aus welchem Rechtsgrund auch immer, den Betrag der vom Kunden in den zwölf Monaten vor dem haftungsbegründenden Ereignis gezahlten Gebühren nicht übersteigen. Diese Beschränkung gilt nicht in Fällen von Vorsatz oder grober Fahrlässigkeit.
ART. 19 HÖHERE GEWALT
Der Anbieter haftet nicht für die Nichterfüllung oder verspätete Erfüllung seiner Pflichten, wenn dies auf Umstände außerhalb seiner angemessenen Kontrolle zurückzuführen ist, wie beispielsweise Naturkatastrophen, Pandemien, Unterbrechungen der Telekommunikations- oder Stromnetze, Cyberangriffe, Nichtverfügbarkeit des ESP, der Zahlungsdienste oder der Anbieter der KI-Modelle. Während des Zeitraums höherer Gewalt ist die Erfüllung der Pflichten des Anbieters ausgesetzt, ohne dass dies eine Vertragsverletzung darstellt. Dauert das Ereignis länger als drei Monate an, kann jede Partei vom Vertrag zurücktreten, ohne zu Schadensersatz verpflichtet zu sein.
ART. 20 AUSSETZUNG, BEENDIGUNG UND SCHICKSAL DER DATEN
Der Anbieter behält sich das Recht vor, die Erbringung des Dienstes ganz oder teilweise aus technischen, sicherheitsbezogenen oder wartungsbedingten Gründen auszusetzen oder einzustellen, oder im Falle eines Verstoßes des Kunden gegen die vorliegenden Allgemeinen Geschäftsbedingungen oder eines unsachgemäßen Gebrauchs der Plattform. Im Falle eines schwerwiegenden Verstoßes kann der Anbieter den Vertrag gemäß Art. 1456 des italienischen Zivilgesetzbuchs auflösen, unbeschadet der Bestimmungen über die Nichterstattungsfähigkeit der Gebühr und unbeschadet des Schadensersatzes.
Bei Beendigung des Vertragsverhältnisses, aus welchem Grund auch immer, endet der Zugang zum Dienst. Die vom Anbieter als Auftragsverarbeiter verarbeiteten Kundendaten werden gemäß den Bestimmungen des DPA zurückgegeben oder gelöscht. Vertrags- und Abrechnungsdaten werden für den gesetzlich vorgeschriebenen Zeitraum von zehn Jahren aufbewahrt, nach dessen Ablauf sie gelöscht werden. Die unwiderruflich anonymisierten und mit Einwilligung des Kunden in das Anonymisierte Repository aufgenommenen Daten bleiben hiervon unberührt.
ART. 21 ÄNDERUNGEN DER ALLGEMEINEN GESCHÄFTSBEDINGUNGEN
Der Anbieter behält sich das Recht vor, die vorliegenden Allgemeinen Geschäftsbedingungen zu ändern, um sie an neue technische, organisatorische oder rechtliche Erfordernisse anzupassen. Änderungen werden dem Kunden über die Plattform oder an die mit dem Konto verknüpfte E-Mail-Adresse mitgeteilt und gelten ab der auf die Mitteilung folgenden Verlängerung, sofern sie nicht durch zwingende gesetzliche Vorschriften vorgeschrieben sind.
ART. 22 ANWENDBARES RECHT UND ZUSTÄNDIGER GERICHTSSTAND
Die vorliegenden Allgemeinen Geschäftsbedingungen unterliegen vollständig italienischem Recht. Für jeden Streitfall bezüglich der Gültigkeit, Auslegung, Erfüllung und Auflösung dieses Vertrags ist ausschließlich das Gericht von Reggio Emilia zuständig, auch in Bezug auf Kunden mit Sitz im Ausland.
ART. 23 MITTEILUNGEN
Jede Mitteilung im Zusammenhang mit diesem Vertrag kann an den Anbieter an die E-Mail-Adresse contact@achillesai.app und an den Kunden an die mit dem Konto verknüpfte E-Mail-Adresse gesendet werden. Auf diese Weise übermittelte Mitteilungen gelten als wirksam zugegangen.
ART. 24 ANNAHME DER ALLGEMEINEN GESCHÄFTSBEDINGUNGEN
Der Kunde erklärt, die vorliegenden Allgemeinen Geschäftsbedingungen aufmerksam gelesen, verstanden und vollständig akzeptiert zu haben. Die Annahme erfolgt durch Auswahl des entsprechenden Bestätigungskästchens (sog. Point of Click) auf der Plattform zum Zeitpunkt der Registrierung und stellt in jeder Hinsicht die Unterzeichnung dieses Vertrags dar. Gemäß und für die Zwecke der Artikel 1341 und 1342 des italienischen Zivilgesetzbuchs erklärt der Kunde mit einem zweiten, gesonderten Point of Click außerdem, die Klauseln in den folgenden Artikeln gelesen, verstanden und ausdrücklich genehmigt zu haben: Art. 4 (künstliche Intelligenz, Bemühenspflicht und Verantwortung für Inhalte); Art. 8 (automatische Verlängerung und Nichterstattungsfähigkeit der Gebühr); Art. 9 (Aussetzung bei Zahlungsverzug); Art. 12 (Ausschluss der Garantie der Kontinuität des Dienstes); Art. 13 (Garantien und Pflichten des Kunden); Art. 16 (Änderbarkeit des Empfehlungsprogramms); Art. 18 (Haftungsbeschränkung); Art. 20 (Aussetzung, Beendigung, ausdrückliche Auflösungsklausel und Schicksal der Daten); Art. 21 (Änderungen der Allgemeinen Geschäftsbedingungen); Art. 22 (zuständiger Gerichtsstand). Die Einwilligung zur Teilnahme am Anonymisierten Repository gemäß Art. 11 wird gesondert erteilt und ist nicht in der Annahme der vorliegenden Allgemeinen Geschäftsbedingungen enthalten.
